sure, buy AFTER the dilution and you should be getting in to a promising pharma that is fully funded.
but buy before that and you are simply throwing away money.

it's not the existing overhang you should be concerned about.
it's the tsunami of new stock that will be issued after the convertible deal is agreed and the agm authorises the issue of new stock.
the ony small positive I can see is that this rise 'might' allow them to issue the stock without consolidation first.

the rns today spells out that if they can't raise more money they are bust.
to raise more money they need to issue more shares.
that means that either this company is bust (you lose the lot)
or
they issue millions of new shares and dilute you out of any chance of profit (as they have done before ...)

it is normal practise for a holder of a convertible bond to short the stock of the issuer.

by doing that they remove the equity risk and play the volatility with the bond floor (essentially coupon value) giving them a safety net.

convertible bonds are something I know a lot about (day job).
to issue a convertible note/bond the company needs to have sufficient stock to allow conversion.
they will need to get authority to issue shed loads of shares at the agm.
more dilution.
the conversion price must be attractive to the bond holder. also where an issuer is distressed (as val are) there will usually be a high coupon to safeguard the bond holders position.
there will also be put terms to allow the bond holder to force conversion.
there will also be significant fees.
the advantage for the sound bod is there will be no penalties if the sp declines, but to 'pay' for this they will have to issue at attractive terms to bomnd holder.
