Samroy - there you hit on what is perhaps the problem Oxy bought Anadarko for Cash and Shares, even the super=major they outbid was offering shares - but we have told everyone "Cash Only".

Oxy, M&P or some other party may well make an offer but they will need to by-pass the BoD, who some might allege have delivered treacherous deal after abandoning the bulk of shareholders.

It's very simple - we're being stitched-up.

It's a disgrace and all bidders should have been told to sod off in a normal circumstance, if management had achieved anything like par in the last few years we would not be in this position, we'd be sitting on handsome profits.

Everyone, including II's should vote against the deal and demand they go back to the drawing board. This is not supposed to be a distressed/fire sale

IMO ONGC have been (and are) making sure they give shareholders absolutely no reason to vote against the deal and competitive bidders to challenge. It looks so obvious and IMO they will do a deal with Geo after we've been screwed.

hand-some - you like the Colonel don't know what you are saying is actually totally true - the BoD chose Geo over the other offers but has not disclosed what they where of if alternative bids were higher in absolute terms, M&P offered cash and shares.

The principle that all shareholders would prefer cash only in preference to a much higher shares/cash offer has not been tested, it simply appears to be the wish of some II's.

I have read the RNS again and in the statements JW thanks the staff, but neither directors appears to thank shareholders for their support - that's because IMO they haven't got support, not even from Michinoko

RNS out from a Franco-German outfit, bought 500,000 and now have 1.02%.

Geographic location is interesting as M&P are French and around 80% owner be Indonesian company (incidentally many Indonesian companies are in truth ultimately Chinese).

Maybe nothing, but they can't be aligned with Geo Park or they would have to declare they where working in concert.

There's no reason to estimate 38%, it could be anything, but the RNS said 23.8%, they are the only confirmed votes in favour.

You are back to your old tricks, presenting plausible information that strikes a chord but has no basis in fact - you appear to have subtly changed your stance as regards a fight, don't start being defeatist.

It may well be that the shares sold thus far have gone to Geo but equally they could have gone to opportunist investors who will bide their time and make a decision as event unfold. IMO, Geo are likely to approach shareholders direct and buy large blocks (they then have to honour the finally offer price even if they increase it) or obtain commitments from large holders rather than buy in open market. It makes sense for large shareholders to wait and not give irrevocable commitments that prejudice the value of their investment and bear in mind Geo will have to announce any new commitments

The commitment of support from existing shareholders and the BoD are apparently irrevocable except under unlikely circumstances, however if someone or group gets a blocking interest of 25% + they cannot progress and eventually if someone does not present an acceptable offer the takeover panel will instruct them to back off, they are not allowed to stalk a company if rejected. According to Moneylender there are already around 60m shares indicated to vote against, that's in one day and is enough to cancel out almost 2/3 of the committed votes IMO if PI's hold firm there is a good chance of a better outcome.

Moneylender - IMO the way to fight this is to ensure those that want to reject this are not shaken in their resolve (the BoD will try) and most importantly have a genuine reason to be optimistic in voting No to the deal.

I shall vote no, as I voted to get rid of NH and GC previously - very few others did even if dis-satisfied. preferred to trust all would come good in the end if they refused to challenge and trusted them for another year after year after year. Don't bury your head any longer and don't be scared of facing them down, as it will like as not result in a better offer from Geo Park or precipitate some other interest.

Hopefully, everyone has wised up now, I sincerely hope no one still thinks they have your best interests at heart - if you do then you need to go and see a shrink to straighten out your head.

However we must be realistic, IMO there should be a proposal(s) to vote on alternative course(s) of action put to a vote at the up-coming meeting, only a 50% majority would be required for those.

The one that springs to mind is to instruct to the BoD to re-engage all the bidders that were told they could only bid cash and for the whole company with the objective of ensuring this truly is the best deal for ALL shareholders, not just the biggest. Also that the BoD should launch a share buyback programme in the meantime to all the disgruntled to depart and retain a decent SP (it would result in a higher price for those still in if a sale took place, even if the buyer reduced their offer by the cash amount spent.

All this is of course, only if no new offer or activist investor entered the contest, then everything changes.

IMO the one thing we must not do now is attempt to vote off the BoD, even though I believe GC and NH are expendable, that is only feasible if an alternative is suggested, maybe a grouping of activist institutions bring in a professional/ respected crew.

I personally think the BoD don't want this deal but have no choice - though they'll never admit it, I also think they'll welcome a deal rejection that's not their fault. The RNS leaves open the option of another party outbidding Geo Park, lets hope as I think even they would have given us a better deal for cash and shares and would up their offer.

Essentially - Yes, out at any price but happy to take more if on offer.

If you're new you probably didn't read my post on Jeremy Coller after we learned he controls Mickinoko. ethical guy and very astute/well connected. I suggest, not the type of guy even GC wants to lock horns with.

He has lead a huge, powerful, grouping of multi-nationals investors in a quest to push for responsible agricultural (in particular) investment, and it IMO will not look for him giving speeches extoling the virtues of ethical investment and also owning an interest in an oil company allegedly encroaching on important Amazon territory.

Eric - All below are qualified as alleged for obvious reasons:

Before the last AGM there was an article in the times suggesting Michinoko were going to vote against GC, that changed and presumably they backed. Many of us at the time thought GC had had to do a deal with Michinoko . The context to this was years of another anchor investor Rex Harbour falling out and dripping shares to the market for years, do not for one minute underestimate the importance of reputation and pride to GC, a second achor shareholder revolting would be acutely embarassing.

I believe he and the other 2 directors who are in truth controlling everything had maybe were no choice but agreed to sell up or face shares being dumped over a protracted period again.

Ask yourself this - does the BoD give any indication they were or are happy with this outcome. IMO, they don't want this but have no choice as they will challenged by Michinoko and maybe a few other II's if they don't "Get Sell-out Done".

That's the way I see this - we are accommodating a subset of shareholders at the expense of everyone else.

Eric - they gave potential bidders their marching orders and delivered a poor deal - surely unforgivable.
- Mislead potential investors and shareholders on what were reasonable expectations, the review process should surely warrant a report and recommendations, why no continue options? - IMO because we are accommodating Michinoko and a few others.
- They left the company vulnerable in the first place by failing miserably operationally
- They were allegedly self-serving and greedy - well documented feud with Rex H on this trashed the SP.
- They failed to use the money they raised for boosting performance to boost performance - it's still sitting in the bank.
- They never appeared try to change a failing strategy over many years and constantly promised and failed in their own low-bar targets
- No evidence of them pressuring ONGC to drill the promised wells in CPO-5, I recognised this and advocated this weeks ago and suggested they even if necessary go into dispute - the Indian government once aware of this would have roasted the ONGC BoD - slow progress is a hot topic in India. Our BoD appear to have stopped trying and not kept us updated. According to last updates we're still drilling up to 6 wells this year.

IMO we have multiply reasons to be angry, it is an awful kick in the teeth to accommodate a small proportion of shareholders, why did the BoD never accept any responsibility for failings and allow a can-do boss to take control and not one of them has had the honour to fall on their sword and resign at any stage.

DavidWK - your shares carry more weight than you realise and the many PI's like you can focus minds and perhaps encourage an activist investor or competitive bidder.

The BoD will have to muster 540,000 votes to counter yours, and there are some PI's with millions and perhaps hundreds like you.

I spoke to the finance director of a big company a few years ago when they were going through financial turmoil, SP collapsing and was advised that as well as the headline shareholders there were a large number of shareholding institutions with non-disclosable % holdings who were very significant as a group. Lets not forget the big shareholders do not own this company, nor do the BoD, we all do.

To my recollection (and I've been investing for decades) I've never seen so much anger and feeling of betrayal in any company that hasn't gone bankrupt.

threeputt - it is the BoDs fault, totally and absolutely as they should have knuckled down and made something of the company, that's was their duty whilst accepting huge salaries and lining themselves up with substantial benefits.

They should never have needed to launch the process, you need to wake up man, you're being stitched up to facilitate someone else's aspirations.

Bear in mind that to get the deal the BoD need to convert more than 3 out of 4 shares voting to approve to get the deal approved as there will be abstentions.

So don't think your small shareholding is of no consequence, II's cannot railroad PI's in this unless we roll over and surrender - I'm not convinced all II's will be satisfied either. The large buys today could be from someone hoping to facilitate of block the deal there is every chance both sides will be in the market.

The BoD has a lot of work to do yet and all we need is a lead from an activist investor with anything like a decent shareholding and the contact to replace the BoD or mayber a hostile offer. From the RNS's over the last few months it's clear that even if all of them vote for the deal they still need many more shares

I think this whole process has been a farce and was almost certainly kicked off by our BoD in response to pressure from Michenoko - who I suspect simply want out of the sector as their owned has allegedly a lead role in a huge international green agriculture pressure group. Good guy owner apparently, but Amerisur must to a bit of an embarrassment. In effect this has been like a distressed sale.

Even M&P must feel disgruntled - I'm sure they could have upped their off part 19.21p.

I can't see all parties simply rolling over for this, Hermes have been buying at similar prices and the last placing was at 25p, it's a complete jock and the joke is on us with management waltzing off with nice a profit and huge benefits over many years.

They are a massively successful outfit winning performance awards and best performer on US stock exchange - we must be stark raving bonkers or corrupt to sell at the offer price.

Take a look at Geo Parks interpretation of the deal, they have a press release, no management comment as perhaps they don't want to sound too smug. They actually mention their strategic alliance with ONGC - IMO this is a stitch up.

I always believed the cash only restriction was to facilitate the wished of Michinoko, whom I believe want out of the sector and a clean out for the Bod (other fish to fry - we should vote against the deal and oust the BoD.

I you are for selling remember the SP should trace the offer price in the coming sessions.

I may dip this morning, wrong time to sell IMO, but each to his own - I'm of the opinion this is far from done. Our BoD presumably cut out so many potential bidders with their terms (why?) for this offer - they can now go hostile.

Around a year+ ago ONGC and Geo Park entered into an agreement to look at opportunities to work together in Colombia.

One might allege, ONGC appear to effectively sabotaged our operation to facilitate this deal and our BoD have been passive at best (being very kind to them.

This deal is not in our interests, Michinoko want out and have most likely pushed the BoD, but the deal is poor for most investors
