Reasons to stay invested if Wood shares suspended1 Apr 2025 21:07
The reasons I remain invested in Wood until Sidara makes a formal offer are two-fold:
1. I believe Sidara will make a bid before 17 April.
2. If Sidara do not make a bid before 17 April, Sidara and Wood will request an extention in order for Wood to view the revised and audited accounts. Sidara always wanted to see the review and audited accounts these were the 'couple of hurdles'. Sidara will want to know the size and scale of the write-downs via Wood's newly revised and audited accounts. Once the revised and audited accounts are known, Sidara will make a bid.
If No 2 comes to pass, Wood shares will be suspended from 30 April onwards while their accounts are revised and audited. This means that anyone not invested will be well and truely locked out due to the suspension of Wood shares, and therefore will be uable to buy or sell Wood shares.
Further, and most importantly, despite the Wood suspension of shares, Sidara can still acquire Wood. Once the acquisition is completed, Sidara will no doubt delist the Wood shares. Obviously while Wood shares are in suspension, Wood shareholders cannot trade their shares - but still retain ownership and any rights associated with those shares i.e. voting rights and cash for shares should Sidara buys Wood for £X per share.
I am 100% sure Sidara will bid for Wood. No one knows how much - but for me a minimum of 85p is expected...anything more would be a bonus.
Sidara want to buy Wood for obvious reasons. Wood's institutional investors want Wood sold for obvious reasons. The sale will happen, it's a case of when and the price.
Does Sidara care if Wood shares are suspended or not? Absolutely not. With Wood shares suspended, it means that if there is any leak/s on suggested bid/s (or and back and forth bids) i.e. while the shares are in suspension - the Wood share price is effectively frozen - it's locked. No more roller-coaster rides for the Wood share price, which works in Sidara's favour. Only those Wood shareholders still invested during suspension will win - based on the final price agreed between Sidara and Wood. Those on the outside (not invested) are 100% excluded from the ball game forever.
Personally I would rather be inside the tent where the action is, than watching helplessly from outside.
