Some will say NC cannot see SW results as this would be insider info etc but in my opinion the first refusal clause in the JV can circumvent this as all GH would need to do is under a non disclosure let NC know what they found and if NC want a piece they start talking numbers. Once they have agreed to talk numbers nothing can be released until they have agreed the deal as everything related is price sensitive.

The reason they are at full ask is in order to actually book trades at the full ask so to attract other bigger trades at full ask before taking it down again.
All part of the rinse and repeat in the 28 - 30 range as long as they get sellers & buyers

Remember though they have the power to borrow shares so they can use this too.
I can see them driving up the SP through the 30 range to gather even if just 50% of what they need. Sell that and borrow the shortfall at a new high.
Drop the SP back to 30 gathering shares to return the Borrow. Profit on the way up and profit on the way down.

Nothing to stop NC pouncing early but the JV terms would still come into play as surely NC would need to factor in the percentage they have not reached under the JV.
That percentage is now worth one hell of a lot more than what It will have cost NC to earn on a pro rata basis.

If you parted with a large bundle of shares and you want to replenish your war chest, you are not going to raise the SP and buy them back from sellers at a higher price you got from your sale. Especially if its day traders you sold to in the first place.

Yep did happen on GGP the fund confirmed a week or so in advance the weighting they would be buying. Could not believe the sense in doing that but sure enough they piled in just like the knowledgeable posters on the GGP board said they would.

Any buyer could do that if they wanted to but first they would need to buy EUA. That can be done with a all cash offer or mix cash & shares, or an all share offer.
In your scenario we would have to receive part or all shares and as holders of NN shares. EUA shares would no longer exist only the subsidiary company name EUA owned by NN

I would say the offer period only begins when a formal offer is made and is communicated by RNS.

Surely the sale cannot just rely on reports and other areas under investigation. Is there not some hard work including drilling that needs to be done to firm up what appears to be potential. I cannot see a buyer shelling out billions on potential only.

No as if they bought the trade has to be reported, it just means the MMS have taken the shares onboard in that period

So we may or may not control or own it.
There is so much ambiguity around what is for sale or what is owned that can be sold perhaps that is what the lawyers are working on before the process can move forward.

Why does everyone assume lawyers only come on once a deal has been agreed. Is it not beyond possibility they are at the table when serious discussions start with one or more suitors once any others have dropped out after first having sight of what’s up for sale and sizing up the competition fir any assets.

Very informative reply. I do believe miners who have confirmed assets still in the ground which can be added to the company balance sheet do you an average price over x number of years and that can be used if buying same assets from other entities. Independent authority bodies can also be used to work out a fair value and they too will use an average price as part of their calculation to arrive at fair value. Rising price is obviously great news and happy to be corrected regards how you think a price is agreed at other than the price on the day ink is put to paper.

I may be wrong but when valuing minerals in the ground for sales purposes is it not industry standard to take a 5 year average.
