I understand what you say but still see a risk to the backer that all could be lost if another bidder just walks away withEUA

I agree MJS any dividend above what the highest price paid for would give everyone a profit and their choice to retain shares.
That would be ideal however it would then depend on what the market prices the early stage ROS JV at. IMO it could be single figures.
Regardless though I still think many will sell post dividend and the more it does not meet expectations the more would sell. There will be a sell off anyway no matter how good and the MMs will play on that particularly if there are buyers around who want to snap them up.
My main point however is if the placee took the shares as an investment then fine. If they took the shares to secure a supply it doesn’t as anyone could take out EUA with a bid .
Worst cases scenario 20 p div and ex date SP of 5p
Of course the placee could buy up shares being sold and or make a full bid.

Montch is what appears we are selling and the Ros JV is what will be developed and that is being financed in effect by the Institutional investor.
Some have talked about a Japanese consortium which all sounds good as they need to secure supply.
Problem is I they cannot secure the supply unless they own the supply , they would only own shares in EUA.
If the supply needs to be secure they would need to own EUA or be part of a private company.
Now what would happen if Post asset sake and div is paid SP falls and many PI s sell out (with or without profit) if directors and the ROS backer end up with 50% plus of the shares they could take it private and that would secure the supply. Cheaply too

Why should TMS get flack for asking what appears to be an obvious question. Any shareholder on Aim should always look for possible red flags if they want to protect their investment.
I am not saying this is bad news but if any of you had not at least thought about it then you are the ones that will be caught high & dry one day. Probably when a share sp tumbles and is taken private.

Has something gone gone over my head that I missed or is it something that seems to spook you.

We can all argue about what was said before, the bottom line is they moved from several non binding offers (part full or otherwise) to ONE non binding offer.

Because of the RNS in its entirety and specific to the meeting they used the wording At.and not The

If the BOD had decided they would have something to vote on at the upcoming GM they would have said so.
They did not.
The RNS simply said any sale of assets would need approval in a general meeting .
When the next meeting approaches with no hint of the sale I will say it now so some can copy and paste.
Its complex , probably a late bid arrived. The buyer needs to find zillions .
Not true of course it is just going to take longer than the next meeting.

Has the question been answered regards CORPORATION TAX , does that get applied to sale proceeds before they can pay any dividend?

Ok the sale process has officially ended but are they still involved? I would expect them to be as EUA are still obviously working on the proposal
So the question is does UBS still need to report trading activity or not.
I would still expect them to report as they must have knowledge of what is on offer from both sides.
If they stop reporting then I assume they are no longer working and that would not make sense if a deal is still being thrashed out.

I would suggest you do your DYOR as you seem to have no idea how all things being equal a company SP works on dividends. THEN take into account what could happen specifically to the EUA sp when the unknowns become known ( that will happen at the same time as any dividend is announced)

Trick , seems to me you think the company is just paying a dividend and not how the dividend would be financed.
Then again, even if the dividend was NOT dependent on a sale of assets, why on earth you would contemplate a 10p div could generate a rise like that is totally and absolutely illogical.
You need to get some basic understanding of what is happening here and I really mean that so you can manage your expectations and make the right decisions.

The correct answer has to be in mining terms an asset can only be entered into a companies balance sheet once the assets in the ground have been proved up & confirmed.
I have no idea what EUA actual assets are on the balance sheet and which are potential.
What I do know is many of the experts on here (and they are knowledgeable) do appear to gloss over this.

One fact is proved assets are in the ground and the majority are in the ground and yet to be conclusively proved, then mined.
The market factors risk into pricing , buyers will also do the same but will have better information than the market.

We surely agree that it is the Rosgeo JV at his time , is the asset is what is intended to be retained. Yes there is potential great value to be proved up but in the here and now that is risked and needs the work done.
So leaving that out of the equation what is the true value of what is left and what does that translate to a sale value and
Dividend after costs and working capital for ongoing business.
