The Tesla offtake deal was pulled because it was a crap deal. REM made an offer of £1 to buy out BCN which was turned down. This was back in the days when Lennigas was CEO at REM

@Hintza , unfortunately, with the board giving its recommendation to 67.5p, i don't think we'll get that high

makes no sense to me Mr C. They're businessmen, obviously they know the risks of a creeping takeover, so get something written in to the contract ? They've said no to REM at £1, said no to a bad off-take deal with Tesla, so why acquiesce to this low-ball when everything seems to be in place ? Maybe we'll never find out the true reasons :(

we were dual listed and I think they were getting more response to the AIM listing, citing two iis coming on board thru AIM. Not stated, but may have had something to do with the enforced change of CEO

@bob - we don't know what they will do for certain. 67.5p is an opening gambit in my opinion and not a given.
When it comes to discussions between Ganfeng and Beijing or Ganfeng and their shareholders i'm afraid i'm not in the loop

@nomadic - i don't think GF can keep increasing the bid level that easily. At the moment they can, because no formal offer has been made. Once a formal offer is on the table then we enter a strict timeframe, and if the offer is voted out by the shareholders then i think GF will have to wait 12mths before they make another approach.
I'm only reading from the takeover guides but i also think there are variables and exceptions that i may not be aware of.
My personal guess is that their formal offer will be higher than 67.5 and they are using this period to pressurise shareholders somewhat. I don't think they'll want a scenario where their offer gets voted down and they DO have to wait 12mths.
Quite frankly if the board is recommending 67.5p when they turned down REM's £1 then there may be little sense in me trying to be logical

The City Code provides that, if a takeover offer fails or lapses (e.g. because the required acceptances or approvals are not obtained), the bidder will not be able to make another takeover offer for the same company for at least 12 months (subject to certain exceptions).
Not an expert, so not exactly sure, but above pasted from guide to public takeovers

If u want to make money @ Puzzle then buy as much as u can. Ganfeng will get this; they may decide to raise to make sure. If their 67.5p gets knocked back they can't offer again for 12mths: 80p could look very cheap by that time. They will have gameplayed out all the scenarios, with the board in their pocket they can't lose. All we can hope is M&G and Hanwa have a bit more backbone

Ganfeng will seek the approval of their shareholders on the 28th June for the proposed takeover. Meanwhile BCN will specifically NOT seek the approval of their shareholders at our AGM; in fact they will not even answer any questions about proposed takeover.
