The management has no other way but to protect the interests of its creditors. Normally os its creditors has called in its loans the management would have need to call in the administrators.
Now it is need of a fundraise and placing and to keep the company afloat. Now shareholders have been diluted at least the pressure of paying back its loans are eased and it may or may not getting an offer for the remaining shares that the creditors do not own, but there is no guarantee an offer will be made. The remaining shareholders can still get nothing and the management can still call in the administrators, this is why the share price is going to fall below the offer price. Who wants to be locked in on a company that has no listing and administrators may still be called in any you may get nothing.
Poor management here and they should all be fired. First thing is to cut their salary in half.
