As previously referenced by several posters if JCC aren’t successful they can ditch the Scheme of Arrangement and simply try to force through their takeover by by getting support from over 50.1% of the voting rights subject to them making an offer above the highest SP price over the last 12 months which I believe is 32.65p.

So for me it’s a very simple decision. Vote NO and hope there is a counter offer but failing that if the NO vote prevails then JCC probably have a very good chance of acquiring Solg through this different mechanism provided they offer around 33p per share. Either way it’s a much better option than simply letting them acquire us for 28p!

You could very well be right and guessing we will never know the real truth behind it all!

However irrespective of all that the undeniable fact still remains that Solgold and all its assets and future potential is worth more than JCC’s derisory offer of £850m and I cannot believe that another Major won’t have realised this and be preparing a counter bid! For them such a price is pocket money and the size of the prize for whoever wins Solg is huge so IMO it’s just a question of when not if a rival bid is tabled!

Of course all just my personal opinion but let’s hope for everyone who’s been invested and is still invested in Solg that this scenario comes to fruition 🤞

I cannot believe that one of the Majors won’t make a bid for Solg given JCC’s offer is only around £850m! It’s such a low bid by the Chinese which almost defies logic! Clearly there is some unknown reason why the Solg board rolled over and accepted this bid but my take is it was done with a great degree of reluctance as if they were backed into a corner! Now if one assumes that’s correct and our board saw no way other than under duress accept this derisory offer, this does not mean that a Major with infinitely bigger resources and pockets than little old Solg won’t step in and make a counter bid! I mean why wouldn’t you?! Here is a world class tier 1 mining deposit along with numerous other high potential tenements ( not to mention POV) literally being bought for peanuts! It just doesn’t seem conceivable that there isn’t a single Major who doesn’t want to make a rival bid at a price which for them is like pocket money! There has been some considerable buying by institutions since the bid particularly by JPM & Barclays who between them seem to now hold over 10% of the voting rights. So who are they the Proxy for? Yes it could be the Chinese but equally it could be a major building a stake to make a rival bid?! As others have said it’s still very much up in the air and all to play for!

The MRE will be a major watershed as it combines the old Redmoor assays from years ago ( some of which have been re-assessed with higher grade results) with the recent new drilling assays and with metal prices at all time highs this should generate a compelling MRE which the company can build upon with further drilling taking us towards a PEA & PFS. I’m very excited and optimistic about my investment in SML, just need a little patience before hitting these key milestones which should transform the Mcap and share price! GLA

Agree Bluegrass. The more drilling we can do especially infill then we can move the dial from inferred metal to indicated and measured which de-risks the project and should see a more robust valuation of the company and it's true worth! Hopefully going to be exciting times ahead

Chesh - Yep that 505,000 buy was mine which now takes my holding up to a modest 2.5m. Lots to look forward to with SML especially the MRE in Q1 which hopefully takes us on to a PEA and then PFS by which time I would hope the market have woken up to the true potential here which should see a significant re-rate in the SP! Interesting that he had so many votes against which clearly included BHP, NMM & Jiangxi plus probably the CHP lo!

Wonder why all these parties would vote collectively against NM? Clearly they are all aligned with the sale at 28p so one can only draw the obvious conclusion that NM is against this daylight robbery!

For me it's as clear as day that NM behind the scenes is pushing to get a counter bid and the concert parties who have featherd their nests nicely don't want this hence the votes against him!

If ever we are going to get a White Knight it won't have anything to do with the likes of DV or PS it will be all down to NM who IMHO is the only insider still pushing for a competing bid!

Sharketmare - The reason Fort is citing 28.5% is because Jiangxi have tabled a bid under the terms of a “ Scheme of Arrangement “ and under this scheme 75% of votes cast must be in favour BUT the bidder ( Jiangxi) can’t use their own voting rights which are just over 12% hence why they only have circa 28.5% declared support so a long way to go to get to the required 75% hence still all to play for! I think PS might have said that under a “Scheme of Arrangement” they could table an offer at or in excess of the 52 week high SP which would be > than 32.65p provided they have greater than 30% shareholder support? So based on this is we reject their 28p offer they only need to come back with an offer at or above 32.65p and that would be a winning bid provided there are no other bids! So for me it’s quite simple reject their offer so they have to increase it to around 33p which whilst still a steal at least puts more into the pot for shareholders!

You are the scurg of this board and have been for longer than I can remember! Is going to make a guaranteed profit either from a sale to Jiangxi or another bidder as yet unknown! Its money for old rope if you’ve got it so I’m expecting the likes of L&G and Global X to be mopping up any shares sold by those stupid enough to sell them! In fact several posters have now challenged Fort / Drake about being out and just like a politician he hasn’t replied and simply deflected! So Fortissimo for the umpteenth time of asking are you in or out?

Being honest ( which is a quality Fort could do with) I’m not expecting him to reply which only reaffirms the view of many on here that he’s sold most or all of his holding and is now trying to sow negativity so he can get back in at a lower price! As I have said before disingenuous is the first thing which springs to mind!

Triple, I don’t agree with your statement about a WK needing to arrive by Monday as any potential WK won’t reveal their hand until the Chinese have either officially tabled a firm offer or possibly not even submitted an offer by the 26th in which case a WK may simple keep their powder dry and let Solg get on with the job we were doing so well before the Chinese stuck their unwanted fat fingers in the pie and carry on de-risking the project which is ideally what a a major would want and in this scenario we are more likely to eventually get a fair value sale!

RBM. Officially of course you are correct otherwise it would be corrupt and against market regulations! However it cannot just be a coincidence that since Canacorrd stopped purchasing Solg shares back on 5th Dec the SP has been in decline! When Canacorrd were active in the market our DP was being defended and now it's not and the evidence is there for all to see!!

Peel Cun£ would have beaten Canaccord 10 - Nil! WTF are Canaccord!? Their last purchase to defend Solg was on 5th December but Peel Cun£ have been buying every day on behalf of Jiangxi and surprise surprise since Canaccord stopped defending against this the SP has slowly been pushed down! Today PC bought more than 4 million shares on behalf of Jiangxi which is actually going up from their normal daily average! If our board don’t start defending Solg in the market we are going to be pushed down further! FFS Dan & Paul get of your arse’ s and do something about it! Spot on DBW! It’s as clear as day that Fort ( Aka Colonel Drake) is now out and has gone all negative so he can hopefully buy back in at a lower price! It’s true what they say that a Leopard never changes his spots. The Colonel is definitely up to his old tricks again!
