Worth the wait Antha, imo. As part of a trio of shareholders, late this afternoon we then received warm message from Mr.Cotter: “Thank you, for all your efforts and putting up with my processes . Really appreciated. I'll do my utmost on this matter for you all." And for me personally, it was a significant pivot point in proceedings.

MC has history as a very competent fighter in the court room and has successfully taken on industry heavyweights. I knew fairly early on Q4 2024 that it would very likely take an extended period, prior to him clearing sufficient space then getting focused & turning his attention to the Cloudtag shareholders, due to his busy schedules. I had previously worried that he was regularly tired. At one point he was exasperated with the woefully ignorant expectations of some shareholders who needed & demanded "guarantees" (F**k'em was my input :Tim does all the social niceties, I tend to just do the necessities).

It seemed to appear that he was catching every winter bug. But I was confident that the wait would be eventually worth it. The Committee kept up slight but constant pressure throughout, which then meant updating & expanding on our knowledge base & passing this on, so was a beneficial process to both parties. There was then a good rest break by both Michael & the 3 of us, over the last month (tbh, was very tired & so was grateful in December for ABH's foolish posts). We all then quietly waited on Amit's latest timeframes to again be proven as false and IMO this wait has paid off.

Michael's warm message above was then in response to a shareholder committee who had worked diligently & endured patiently over the last 6 months whilst waiting on Michael to ‘clear the decks’ & whom could now see that Amit was again clutching at non-existent straws in the latest company notices.

Mr.Cotter comes with a very good pedigree and today has informed me that he will give it his best shot. I will not ask for more than that. I will not demand guarantees that my £150 + VAT will see the return of my investment. I would not be so foolish or so ignorant to then expect plain sailing for any legal team now likely to be facing the Ben-Haim empire. But I do relish the possibility of facing the wee schyte ABH in a court. With media crew in attendance.

Looking forward to Amit Ben-Haim's next development update which might help explain why he has then had to utilise another company, this time based in Delaware USA to facilitate selling 'AI-driven Type 2 Diabetes Digital Management Solution'

Queried Michael on the 6th asking when shareholders can get confirmation of their sent data having been received and was then informed that he would put the finishing touches to the Terms of reference that each shareholder will need to sign to join the class action and that this will be sent to us sometime during this week.

Excellent meeting held with Michael this afternoon who has cheerfully stated that we now have very comfortably surpassed 10% of the holdings that are the minimum required to seek an EGM. Many thanks to all contributing, inclusive of the ‘10 significant holders’.

As was expected, close to one-third of that initial support then shied away from actually committing (lol, but no surprise there) & is likely due as per Michael’s explanation of ‘receiving many requests from shareholders seeking confirmation that they will receive payment of sorts’ for which MC quite correctly, absolutely would not give. Michael came across as very buoyant (can see now why some in the COPL group consider him as a ‘street fighter’) & he still reckons that a few more will likely get onboard as there are still ongoing late replies incoming. There will then be a short period of a week to 10 days whilst Michael dots the i’s & crosses the t’s on composing the terms for group members to put their signature on. He thinks this should be out to shareholders within about a week.

I then raised question on whether Amit could expect a nice Christmas card with some attached documents. I was assured that Amit would receive something nice over the festive period. Tim will put together a more formal post over the next 2 to 3 days for sending out to shareholders.

Now appears that the clock is ticking down on several other prospects: An Edbury Road apartment is up for sale & appears to be a mid-January departure date for its occupants to vacate these shores ?!

Provisionally had a meeting planned for this afternoon, Weds 4pm, with Michael but unfortunately he can barely speak and that sadly his whole family has currently gone down with flu / colds.

It’s requested that we provisionally try to speak this Friday pm, assuming all health issues and the priorities of various work requirements, then hopefully allow.

Primarily want to ask if a sufficient number of equity holdings has met the threshold for raising an EGM & tied in with that, when can shareholders expect a confirmation email that their support & equity holdings have been registered with legal counsel. And when can we send a formal polite request to Amit asking for an EGM to then validate the previous company notices of $50M having being deposited [March 2923] & then having been transferred to a distribution agent [April 2024]. And when does the clock start ticking down for the reply.

That I also wanted to clarify the legal framework that covers the committee (3 shareholders: Self + Tim + a.n.other) that have put together this class action : clarity with respect to how much information we can currently divulge to other participants within this particular group litigation. Some have suggested that as clients they should receive access to all known data. IMO that is a high risk involvement. Therefore needs clarity. eg. there has now been received some quite incriminating documents with witnesses who have requested that their names be currently screened, which has to be honoured. And is also a reasonable caution to take, as no one likely yet knows the full depths that Amit might be capable of descending to. Guessing that all participants will eventually get access to all the various files but that some of these might then be heavily redacted until such appropriate times allow.

Suffice to say, releasing the name 3 weeks ago of Amit’s inferred financial distribution agent ie SRS, preserved that shareholder’s identity whilst informing others in a similar position (private emails from ABH) that IF the inferred agent had been used to solicit further funding there was then a name & address of said agent where polite enquiries could be made. The reply I received categorically stated that SRS were in no way involved with either ABH or Cloudtag. This hopefully may have been of assistance to those few remaining believers in Amit’s ‘integrity’, that it was then worth their time & effort in seeking legal counsel to help offset any significant concerns from what appears to be fraudulent emails being distributed privately by ABH / Cloudtag. From my understanding a few of Amit’s devotees have recently started taking legal advice.

Two weeks ago and it was made known that he was interested in joining the shareholder group. At around that same time, Amit started phoning “every other day”. And at which point the poor wee lad threw a head wobble. Nb… a repeating occurrence amongst those that recently followed Amit religiously (hey CG?).

Had he, as he has recently implied, then bought all his shares at 1p (timeframes displayed are 2017 till 2024) falling within his quoted expected return of 20p “£5000 will return me £100,000” he would have been looking to expect Amit to pay out close to £18,000,000.

Hence the head wobble. Seriously needs to toughen up.

The distribution process started last week and we are told takes 4-5 weeks. once the agent has been in touch receiving the money should take no longer than 2 weeks, therefore by deduction, imo, two to three weeks after the process starts we should hear from the agent, therefore we should hear from the agent either next week or the week after.

Contact can come from Santa Claus for all I care; but what I do know is that it has to happen before c.o.p. Tomorrow evening. We’ve been told “the Paying Agent is now in receipt of the licensing funds”. Privately we’ve been told “the portals there/ready”. All Cert holders have emailed the company, therefore all email addresses are known. Only logical step remaining; contact investors and pay the funds. If this is real, then there should be no further delays!!

Those opinions imply that payments to shareholders was then imminent but which now contradicts yesterday’s statement that suggested Kev was forwarding funds to Amit throughout 2023 & 2024 ?

Outwith Kev’s ‘private’ communication & any of his ‘logical’ conclusions, was there ever a single genuine factual documented input from any 3rd party, be it any of the buyers or any distribution agents, that then supported his belief that Amit was genuine ? IF Kev was indeed still forwarding funds in 2024 did he not then receive the emails sent by Amit in February 2024 to a select few shareholders, that highlighted SRS Acquiom as the paying agent alleging their ‘thanks to Amit for reaching out, that an account has been set up for receiving initial transfer of $950,000 & that shareholder payments will commence a few days after’ ?

That should read ‘..recognised Amit for the failure that he is.’

That most shareholders had indeed written off their investment in cloudtag. But that what has since occurred is that Amit has gone from failure to then being fraudulent & that the fraud is then one criminal action with significant data, that can be addressed.

Which again raises question on why he foolishly’resurrected’ the dead cloudtag with a fraudulent ‘$275M payday’. And currently i suspect that his best defence is likely to be the behaviours of Kev and similar others.

A perceived threat then exists that Kev whom has daily phone calls with Ami & who from his earlier post has insinuated that some shareholders have a mistaken belief of being entitled to the rewards of Amit’s hard work.

Is Kev perhaps suggesting there might be a tier structure for payments separating those shareholders that are “entitled!” as per the tread title, from say, those other shareholders whom presumably are not entitled ?!

It then creates a situation where he is almost suggesting that my holdings may qualify as non-entitled, thereby implying my holdings are at risk ie. Threatened.

Looking forward 6 months & one wonders what Amit’s defence team will use.. & Kev’s idiotically threatening insinuations will IMO likely be a starting point. I would place a decent wager that this whole debacle of false payments has arisen from a very small handful of shareholders “consistently & relentlessly harassing Amit for results” (his defence) when the majority of shareholders had already recognised Amit for being the fraud that he is.

Same sad individual on X who has then posted every other month over many years “i believe” in addition to his rocket emojis & had recently quipped ‘all shareholders have to share in accountability of our circumstances’. Today’s nonsense further highlights that he can not be trusted.

It ain’t too difficult to then try forecast what Amit’s defence will likely be to support his argument for the numerous multiple fraudulent company notices.

Kev’s threatening behaviour towards shareholders which now appears to be suggesting that ‘entitlement’ is only for those who gave funds in more recent years, is an idiotic move, which will then see Amit’s defence utilise such aggressive & threatening behaviour in support of their client.

Intrigued why Kev believes that shareholders are not entitled to ask legal counsel to open Cloudtag’s books ? Shareholders are simply requesting that proof of deposit of $50M as per cloudtag notice from March 2023 actually occurred and similar that transfer of those funds to paying agent as per company notice of April 2024 also actually occurred.

Then Kev throws in tImeframes that occur after delisting with the suggestion that perhaps only some shareholders are entitled ?!

If Kev could then provide actual proof of any ‘transitioning’ that has occured, then there are currently 187 shareholders who are all eager to hear.

Perhaps it is time that Kev sought professional help.

I’ve requested that Tim sends out a couple of more emails highlighting the class action.

Between that and the excellent publicity being tirelessly provided by 1984 then meets any requirements for a shareholder group to adequately contact all shareholders.

Will be pleased when Michael then puts a final date for commitment to group action. Meanwhile a few more emails will then satisfy any ‘best-efforts’ in seeking out those not yet aware.

Quietly biding my time Rob.i know that Amit has been very busy recently with almost daily phone calls to a handful of remaining believers, with yet again further false claims of being ‘let down by the agent & the buyer’ and for some lessor others, simply that ‘the cheques are in the post’. Those few though can now read that the writing is on the wall for Amit & so are finally realising, that nothing less than unequivocal proof is required.

Amit’s recent panic mode is then likely centred on what additional damages might be released. If they then wish to come onboard with the group it’s fine but I simply ain’t fussed either way. Outwith any further evidence from those closest confidants, there is more than sufficient data to bring charges against Amit. I’m aware that some of the larger holders have sought & then received one-on-one communication with our lawyer, to then try facilitate some version of a sweetheart deal (as was expected) but that Michael has a steady and even keel, and is preparing the shareholder group’s corner for the coming court room fight. 168 at the last count. Should get the ball rolling this month. Amit as the Xmas turkey is on the menu.

Nice timing for a week full of bonfires of the vanities.

Unfortunately, eight staff from Amit’s latest 2023-2024 company incarceration to try fleece the market, did not get ‘it’ either.

The it being no payment for the work dutifully carried out in their case. And it then being deja-vu for Cloudtag shareholders.

2 doctors (MD’s) + 3 software engineers, operating from March 2023 up until their wages stopped getting paid…

The professional qualifications then suggests the high probability something does exist.

& Amit’s profuse sweating then highlights that no one wants to buy it.

Ps. Amit’s revert-to gagging clause ‘NDA’ was again used this year.

I just stated bud that I was not interested in a contribution from everyone, that I couldn’t give a fig how the shareholders might act on the information given. The issue though is that did those shareholders uncertain of joining Group Litigation then have knowledge of the broad outlines of recently discovered company promoting assets similar to Cloudtag’s ? That then is the limit of my ethical input; making it as fair and as transparent as possible without jeopardising innocent staff from another of Amit’s exploits.

No room for foolish conspiracy theorists on this tasking.

In this matter of retaining names confidentially, then the issue is not so much a question of professionalism, it is more a question of ethics : Some shareholders still believe that they are getting payment and hence have forwarded on that they will wait it out for a few more weeks prior to joining the group litigation. That is the phone calls I received earlier this week.

There is then an ethical issue where some information could be forwarded outlining what has been discovered, whilst retaining the specifics. And at that point it becomes a matter of trust. If one then asks someone considered trustworthy, eg. Tim (who’s contact is always available to everybody) if there exists data that highlights that Amit has been running another company with the intention of selling assets remarkably similar to Cloudtag’s assets, then Tim’s reply could either verify or deny such company existed earlier this year. It is then ethically correct for the shareholders to be forewarned. Whether or not shareholders wish to act on the information forwarded, I personally really dont care if peeps do not join the class action or what peeps might do with that info. But ethically, it is correct to share.

There is though a professional issue as to how much ALL the gathered information can be forwarded on. There is simply some information that can not be released, from a professional legal aspect. Tough luck imv on those holding foolish conspiracy beliefs.

No one group can lay claim to any money that is found. IF the EGM then finds that there is $50M in a bank in Chicago somewhere, that money then still belongs to the shareholders. But IF there is no money then any group or individual that seeks litigation may then ‘divy’ any successful damage claims. Not too sure that FCA &/or Nomad will be available on the menu, unless we (the story) then gets serious litigation funding. Fingers crossed.
