Biggest questions to me in closing

1) director Cobus was brought in with ONE job in mind - get the 2024 audited accounts released. He was thanked after being in the job in RNS for over 6 months for his "contribution". What contribution exactly ???? Lol. Taking a salary for nothing ???

2) there was a small notable spike in summer after fundraise from 0.05 to 0.09 then it abruptly sank over following weeks and suspension was announced. Was this the "pump and dump" scam in full effect?

3) still questions remain around mr Kanme. I suspect he's just a hired stooge paid a handsome salary to keep it on life support.

We've been scammed. There's no other way to look at it. Valsen is vindicated and proven correct. Personally my only regret is not listening to him sooner, though I did sell off around 40% of my holding when we were initially reinstated around a year ago.

More questions remain than answers. The employees and actual real Gabonese people are probably the only people to suffer more than shareholders.

Best to draw a line under it now and not waste any more energy. The best we could hope for is a liquidation and some small pence in the pound return. A relisting several years down the line is also a remote possibility but one I don't expect.

I leave with more questions than answers.

It's also possible they may have been granted an extension due to complex due dilligence - AIM have the ability to grant small extensions in exceptional circumstances. I would imagine Gabon's geopolitical climate would count as exceptional. Let's get real here too - the local civil unrest is the whole reason we are in this situation to begin with.

Let's deal in cold hard facts and empirical evidence rather than hearsay. Valsen likes to throw out claims without any evidence to back such claims up. This time last year I will remind you he was beating the same drum when we were suspended. Ultimately Cannacord was replaced by Allenby and we resumed trading. Valsen subsequently disappeared for months. None of the smears Valsen directs towards Henriquet can be verified.

For example, Valsen claims no logging and exporting has taken place for over a year. Clive Roberts has posted pictures on twitter aka X on the same day of the June RNS showing major supply of produced stock being prepared.

Valsen, there are several contradictions in your post.

Firstly, you state that the Chargeurs are hounding Henriquet for payment of their membership fee, yet at the same time they just published this poster advertising woodbois limited on Facebook. Why would they promote if haven't been paid? Incorrect contact details on poster are probably the fault of some lazy office person who made the poster. The poster clearly shows woodbois limited logo as well so it clearly means our woodbois limited Gabon and not another company.

Also you say logging hasn't taken place in over a year but this is just completely factually untrue. The summertime RNS results from 6 months ago clearly tell you that operations have been happening and production is increasing. There's also LinkedIn posts within the last year showing Woodbois exports to Greece so you are just completely lying and spreading misinformation by saying there has been no activity in over a year.

2.35m+ was raised shortly before suspension. No one is investing millions without some form of due dilligence.

It's pretty standard for companies to use all 30 days before announcing and appointing new Nomad

This gives ample time for all due dilligence to be completed, fees negotiated etc. Also possible there may be more than 1 Nomad available which gives the company time to make a decision.

The wording of the latest RNS clearly stated a "change of adviser" meaning they already had one lined up and intentions to appoint a new one.

Again, the company has not said anything in official statements to contradict this. Company said it would undergo a complete corporate restructure this year by closing down certain operations eg woodbois aps based on Denmark. Company is currently still operating and exporting as it said it would.

Executive directors and major shareholders are strongly incentivised to get this reinstated on AIM.

I maintain full confidence we will see a new Nomad appointed this week.

You all said it was doomed this time last year when it was subsequently rescued from suspension.

The suspension of trading now was always intended to be temporary and has allowed board and management to focus on a complete turnaround.

We will see who is the delusional one come this time next week.

The company has been operating and producing at record levels like it said it would during the summer, meanwhile restructuring the organisation.

Appointing a new nomad is voluntary on part of the company and this is being worked on as we speak. They have 5 days to appoint a new nomad. I'm sure we will hear this week. I'm guessing it will be a nomad who has had close working relationships with Edworthy and/or Baumann in the past.

There's been millions invested and many institutional investors. They clearly see the massive upside and potential from the current lows. Also can see alot of the company's turmoil over past few years was due to the geopolitical crises within Gabon and also incompetent mismanagement by the Guido and Johannes era.

I remain fairly optimistic we will see this come good. Let's wait and see.

Backs up to me what they promised during summer RNS releases that they aim to resurrect the business through ramping up production and cash generation.

I am still remaining very optimistic new Nomad will be appointed.

AI can be quite fickle still and tell you what you want to hear. AI is likely just responding to your question wording by seeing that Woodbois' is currently suspended on AIM.

Latest RNS implies company intends to appoint a new Nomad. Cobus Can Der Merwe was brought in as a hired gun to complete the audit. I suspect his task is now complete.

Clive Roberts responded to someone on twitter who asked if Woodbois is still trading. Clive is a significant shareholder though not on board anymore. Clive took payment in shares instead of cash what does this suggest ?

We have exactly 1 week for a new Nomad to be appointed or we will indeed be permanently deleted and wiped out.

There's been no RNS indicating company intends to enter administration or liquidation which suggests to me they are actively confident of getting the new Nomad appointed.

Belluscura was one of the other 3 companies listed on the Russell Index removal RNS with Woodbois.

The difference with Belluscura situation is it has been in clear distress signal RNS for quite some time. There's rumours on their board about company being taken private.

Sheeen was another company listed on the Russell Index removal who have seemingly come out alright.

Woodbois major shareholders and directors can't do a "Belluscura". Many of them hold shares and payment is dependent on successful recovery of Woodbois' share price.

Indeed several former directors took shares as payment instead of cash - I may well be clutching at straws but this is what gives me optimism. They clearly no more about the situation and events following the fundraise than we do.

The executive directors depend on Woodbois returning to AIM in order to see a good personal payment.

Management and directorship are extremely incentivised for Woodbois to be reinstated and for us to be publically trading again. That isn't necessarily the case at Woodbois.

We have 10 days for a new Nomad to be appointed. Wording of the latest RNS implies they had a change in mind already.

The experience of Edworthy and Cortez leads me to think they have good working relationships with potential Nomads and so I'm pretty confident one will be appointed.

All is not lost here. The latest update I have from ground level is that the veneer and sawmill are indeed operating as promised in summer RNS and exports have been going on consistently.

We have had no warnings of imminent insolvency or company failure in the last 6 months which you would fully expect at this point.

Belluscura had been raising the flags and ringing the bells for a long time.

Have faith in our new board. There's latent great potential in this company in my opinion.

1) RNS saying they "tried their best" and confirming company is insolvent.

2) complete disappearing act. No communications. An abandoned ship

3) I triumphant RNS detailing new Nomad appointment and a resumption of trading with further announcements regarding business growth and a fresh start and re-evaluated share price and a happy dream team board.

Hopefully number 3. It's like waiting for your favourite episode of your favourite TV series to come out. Very exciting.

@samthespaniel the date of doom is actually 21st November. If we don't have a new Nomad appointed by then it shall result in us being cancelled and delisted.

In reality we will know our fate by then. Because if a new nomad is appointed then it will undoubtedly be in connection to those overdue figures being posted.

We are either going to be wound up and insolvent in the next 2 weeks or we will receive some triumphant news of a new nomad and a turnaround strategy. The wording of latest RNS - "change of adviser" as opposed to "resignation of nominated adviser" when cannacord resigned makes me cautiously optimistic. I am 99% sure the current board comprises

Kanme (CEO)

Henriquet (interim chairman/COO)

Edworthy (executive CEO)

Cortez (executive CFO)

This is because the paper trail of the RNS and funding options made it explicitly clear Triaxis was only investing £1.35m if Edworthy and Cortez were appointed to board. We see in results of subscription that the Triaxis funding conceivably occurred. We have had no subsequent RNS informing either had resigned. Therefore it's logical to deduce they are currently serving.

It is all or nothing. We love a gamble after all.

Triaxis made it a condition of their investment that Edworthy and Cortez were appointed to the board. I refer you back to the March and April RNS filings where there's a clear paper trail showing the investment completed and hence this condition was fulfilled. So yes it is indeed logical to conclude that Edworthy and Cortez are active on the board at present. There is no obligation to release stand alone appointment announcements when the fundraise completion already confirmed it.

The plan has always been corporate reorganisation and turnaround. Triaxis, Alcazar and Kaiser obviously saw a lot of potential here and have more information than you and I.

Woodbois possesses some innate value overcoming barfies to entry:

Veneer factory and sawmill

Massive forestry concessions

Carbon credit plans and reforestation

The attraction for investors At these rock bottom share issue prices was the potential return on investment was plentiful. Calculated gamble.

I reckon that this Experienced board of Kanme, Edworthy, Cortez and Henriquet are indeed in the process of getting a new Nomad (probably one worked with in prior ventures). I'm very optimistic. Millions of quid was pumped in weeks before suspension.

If Edworthy and Cortez are indeed on the board then nothing to worry about.

The subscription and fundraise results suggest that they are. It was made a condition of Triaxis investment that board are appointed. It appears the Triaxis funds were cleared and received if you do the math.

Alternatively can just ask one of them on social media (both have public linkedin or Instagram/Facebook accounts) if they're currently serving on board of Woodbois. @maffa are you around to do the donkey work? Lol

I'm optimistic we will receive some extremely positive updates very soon. Cobus leaving after his mission was complete - audited accounts complete. I suspect accounts are probably sitting with their auditors littlejohn LLP right now ready to be released.

We WILL get a new NOMAD. The wording indicated so. I'm very confident.

Mark Edworthy, Lucas Kanmé and Jonna Cortez were also introduced and recommended by these parties and Triaxis has made it a condition of investment by it that Mark Edworthy and Jonna Cortez are appointed to the Board as Joint CEO (alongside Lucas Kanmé) and CFO respectively. Here you can see Henriquet listed as chairman at least for subsidiaries.

The company is going through a complete reorganisation and simplification of its corporate structure as alluded to multiple times in RNS releases. Many of these appointments were intended to be interim.

Indeed in my previous post I did state Cobus was an INED but it was apparent to me that he was acting as a temporary FCO or at least the person responsible for sorting the audit.

It seems plausible to me that Cobus was a 'hired gun', an experienced chartered accountant brought in to sort the audit and other emergency financial issues. I think it's possible his work is now complete and we may receive the signed off published audit soon.

The company already announced intentions to appoint more board members, I don't know how relevant the names of Cortez and Edworthy are.

Shackleton and Roberts were never intended to be long term and you know that. Likewise Cobus was probably transitional.

I have strong hope that they are in the process of appointing a new nomad, new board and audited accounts to be released. I may be completely wrong but let's wait and see.
