Having too many stocks on your watchlist sounds like a good problem to have.

When a share is extremely undervalued, catalysts happen very suddenly and very unexpectedly. And it's not necessarily the catalyst itself that's unexpected, but the market's reaction. Like why did they wake up just now. No one know exactly what catalyst will wake up the market.

Picking individual stocks based on Motley fools is a a fools errand, pun intended, but I don't think that's what Jemesa was suggesting.

He is correctly pointing out that they are shining a spotlight on this company, bringing it to the attention of more retail investors.

I think if not for the strategic value of Cinovec, we would probably miss the June 30 deadline, but the way things are looking I am quietly optimistic that the powers that be will push it through just in time.

It isn't a 200% increase. It's 200% of 30c i.e. a 100% increase.

Quite sad that management seem to think getting the shares to 60c on the ASX would be as big of an accomplishment as reaching the start of construction.

It gets more ridiculous the more I think about it. What happens if lithium price spikes or whatever or some whales pump the share price? It only needs to be held up for a few weeks.

The key terms and conditions of the Director Performance Rights are as follows:

1. Milestones

The Performance Rights will have the following milestones attached to them:

(a) Class A Performance Rights: shall vest upon the earlier to occur of:

(i) the Company announcing to ASX that the Company or Geomet s.r.o has

executed one or more offtake agreements for at least 25% of the planned

production from the Cinovec Project; or

(ii) the volume weighted average price of the Company’s Shares traded on ASX

over 20 consecutive trading days on which the Company’s Shares have actually

traded (20-day VWAP) being at least 200% of the 20-day VWAP immediately

preceding the date of the offer of Performance Rights;

(b) Class B Performance Rights: shall vest upon the earlier to occur of;

(i) the Company announcing to ASX that the Company has made a Final

Investment Decision (FID) in respect of the Cinovec Project; or

(ii) the 20-day VWAP of the Company’s Shares being at least 200% of the 20-day

VWAP immediately preceding the date of the offer of Performance Rights; and

(c) Class C Performance Rights: shall vest upon the earlier to occur of:

(i) the Company announcing to ASX that construction activities at the Cinovec

Project have commenced post FID (excluding early long lead time items that may

be commenced prior to FID); or

(ii) the 20-day VWAP of the Company’s Shares being at least 200% of the 20-day

VWAP immediately preceding the date of the offer of Performance Rights.

Serious advice about anyone who gets too worked up about an individual stock. Diversify, diversify, diversify!

EMH is one of the largest individual stocks in my portfolio, but in the unlikely event it fails I will not be out of options.

There is also nothing wrong with trimming your allocation if it grows too much, or buying more if it shrinks too much.

So, if I’ve got this right:

According to Jemesa: Keith needs to be incentivised, but he’s already incentivised enough, so there's no need for a new incentive.

According to Skelly: We must punish Keith for his treachery.

According to LuckyLaurie: Dilution is a non-issue.

Also, one more thing. If Keith wants more shares he can BUY them. There's this thing called the stock market.

I'd be fine if the performance rights were dependent on all 3 of them being true.

EMH has pumped and dumped to many times for 200% of the 20-day VWAP to be meaningful in its own right. And 25% offtake alone isn't enough to guarantee bankability. Commencing construction is also meaningless if the shares have been heavilty diluted before that.

So the proposed structure as is I cannot support.

If you claim management already have enough shares that they're interest is aligned with shareholders and you also claim that all the decision making is being done by CEZ, and EMH are just a lucky passenger, then why should EMH management get any new performance rights?
