@ Crowman do you still think that TGL is just another puppet hired by MM to do his bidding , just like Rob Terry did with Lord Rose at Quindell? You were very sure of that back in the day..posted quite a lot about how Poor TGL is.

I remember that you were very pleased with yourself saying that posters were cultists buying here in the 30’s and 40’s whilst you were crowing that we would soon be buying in the 20’s

I have been thinking about that and after initially thinking it was mince, i have come to the conclusion it could well be around there,

So TGL made it clear in his chairman’s comments in the results that 1.70 was universally turned away by the board , the boards advisors and major shareholders. The wording was strong, significantly and materially undervalued the company

The company has come on massively operationally and the board and senior management have been transformed since then. Some great hires and NEDS.

IMO Apollo wouldn’t not have got a first meeting if the number was anywhere around 1.70 , perhaps 30 to 50% higher IMO.

So say 2.40/2.50 ..with no strings as far as equity control on the two divisions or they wouldn’t have been invited back.

Apollo come back for a second meeting and likely will have sounded out some big shareholders informally and got a cautious thumbs up, if they come back with a decent hike.

Apollo come back with a number that they think will win a significant number of shareholders on side , what number would that be?

But they add the Equity control part, so they can us that to help fund the deal.

MM said it was turned away and he doesn’t personally get excited about spreadsheets and fancy accounting he wants to build things.

Ingenuity is valued in the hundreds of millions / 60p a share in the discussions

Apollo could well have come back with a 3 at the beginning of the number.

All IMO of course and GL to us all..

The ICON deal will have started at least 1 year ago IMO, it involves the council and they are very slow to make decisions even when they want to, papers written, legally approved , go through committees and so on.

So this has all been in the works for a long time.

Good to see some strength in the SP over the last 6 weeks or so, and MM clearing the decks.

I have the new Guinness gadget which is fantastic so it will be a Guinness for me.

The way i look at it is that THG needs a lot of cash over the next few years to grow to it's full potential, to do that it needs to obtain funds externally, however the SP is driven down by this market London focusing on , FCF and potential dividends rather than looking to a longer term growth,

For example Shopify in 2022 did 60 billion GMV that produced 5 .5 billion in real revenue to them, they lost over 3.5 billion., and the company is valued at over 80 billion. They use their ability to create new shares to get investment capital into the company, THG can’t do that the way it is valued here.

THG IMO will get a cash injection by selling part of the company or part of one of the divisions in the ME, that cash injection will be at a discount to “fair Value”, so if fair value for nutrition is say 4 billion they may sell 33% of it for 1 billion.

Alternatively as others have said , they could float parts or all of the business on another exchange.

So IMO for MM its about going big from here..so going from a 2 billion revenue to a 10 billion revenue for example.

Very interesting decks cleared, BTW this will have taken many many months to get to this stage, perhaps even as long as when MM kicked off the strategic review that led to the closing of on - demand and the shrinking of the workforce.

MM said the offer didn’t meet the public criteria of no loss of control etc, if the offer had been 96p they wouldn’t have had a second meeting.

Its nonsense, those commentators were damming with faint praise..a very poor article harping on about governance saying that the GS removal helped.

Governance is sorted an sorted very well indeed, the non excessive are group that would stand well in any ftse 250 company. TGL has played a blinder as has MM

My protein drinks contain Sucralose , which is another sweetener. If they say Aspartame is a risk they will no -doubt come after this one as well, it looks like many many studies have shown these sweeteners do not cause cancer.

But the WHO are a rule unto themselves as we have seen.

Boo are trying to get rid of the existing a management, they were all voted out at the AGM bar 1 director, and the suggested new non execs were not appointed.

The remaining Director then appointed the two non execs that had just been turned down by a majority 75% of the votes cast.

Those three then re-appointed the directors that had just been voted off the board.

There are no strategic investors, IMO Boo want control without launching a takeover as they should, and the lone director of Revb that did the appointing against the majority of votes cast at the AGM's wishes is on shakey ground.

It's interesting too watch but its all very dubious indeed.

THG and Iceland Jointly developed the products according to the press release, Iceland manufacture and distribute in their territories.

MM has posted before about expansion outside of those territories being in THG’s remit.

The deal is more than just the name being put someone else’s product, who knows what that means financially but THG have control over who can manufacture the products and where they are sold, not Iceland as far as i can make out, they have a 5 year exclusive as we know.

From the launch press release,

Myprotein, the world’s largest online sports nutrition brand, has signed a landmark licensing agreement with Iceland Foods which will see a new range of Myprotein frozen prepared meals and desserts stocked in 1,000+ Iceland stores from early 2023. The five-year partnership covers Iceland stores in the UK, international franchises and online, and marks the first time Myprotein has agreed to license out the brand.

The partnership will see Myprotein and Iceland jointly develop a new Myprotein product range, including fully prepared meals, pizzas, wraps, ingredients, desserts & ice cream. All high in protein and nutritionally balanced.

Thanks Yorek, that is truly stunning ..30% of Fever tree in year 1, with new products and expansion out of Iceland and in the UK and Internationally coming later in the year surely there is more to come.

It’s hard to believe that comparison , people in your industry will be all over it as this becomes more widely known, i know that Iceland said at Launch that Weight Watchers was 80 million a year and thought that My Protein has the potential to match that.

If it goes well MY protein is going to extremely valuable..not just billion or three...

Yorek- Sorry to ask another question, i am sure that THG said that the products were a collaboration and that they worked together for 3 years to come up with the ones at Launch.

Would that make a difference to the royalty structure?

Yorek- you said earlier that the figure of 30 million is mind blowing from a standing start..

Could you give an idea of a brand/ product that has done similar numbers , has this type of success.

I am trying to get my head around what mind -blowing means if you see what I mean.
