Firstly , there needs to be at least 20% shareholders voting on ordinary resolutions and 25% on extraordinary resolutions which is a big ask in the first place.

Now 'IF' David Allmond is not ratified, he wont be marched out the nearest exit. The likely action will be that the Novacyt board note 'we are disappointed that a notable number of shareholders over 20% opposed these Resolutions' blah, blah, blah.

They will then say something along the lines of "the Company is entitled, in accordance with the FCA's Listing Rules, to convene a general meeting (to be held within 90 and 120 days of today's date) at which time resolutions may be put to the meeting to re-appoint DA. He'll continue to stay in the position in the meantime.

The board will then say that they will discuss with opposing shareholders to understand the issues blah blah blah.

I wonder if Biosynex will have the holding vote. it could be that they have kept the sp low, to frustrate shareholders, therefore those shareholders vote against, Biosynex then use their leverage with the company to stipulate conditions or new resolutions at the next OGM. Perhaps they build their holdings to increase their leverage.

Plenty of shares been in this position. Look at Solg where the ceo resigned after poor votes. Mountview is an interesting one, multiple times that shareholders tried to kick out Archibald/Powell directors and board kept voting them back in, lol.

However, if resolutions are opposed, then the board will likely listen to shareholders a bit more. If not, then they carry on rewarding themselves big salaries and bonuses and maintain the silence until the LTIP in 2.5 years.

Personally, id rather do everything to make them listen and take note.

On 29th July 2021, GM announced his retirement with Dave Allmond stepping in to the new position on 18th October 2021.

On the 20th August 2021, an RNS announces that the AGM will be held on 29th September 2021.

Surprise, Surprise, on 29th September 2021, an RNS announced the AGM is not quorate and a later RNS on that day announces that the AGM will be held instead on 18th October 2021.

The AGM is held on the 18th October 2021, Incidentally, the very same date that GM retires from his CEO position with new CEO Dave Allmond stepping in.

On the 19th October 2021, an RNS announces that all resolutions have been passed!

Apparently 14,973,566 (1,785 shareholders) voted, miraculously, of the 14,123,154 needed to be quorate (at least 20 percent), luckily with only 850k shares over the amount needed to allow the AGM to happen.

A few days before the AGM, at 17:06 on Thursday 14th October 2021, Novacyt tweeted that 2 percent were still needed for AGM to be quorum.

That’s 282,463 but they also get a further 850,412. (14,123,154/20*2). In 24 hours, they get 1,132,875 votes. Now based on the final count and number of shareholders that participated, each shareholder held on average 8,388 (14,973,566/1,785). So in the space of 24 hours, a further 135 people voted - where were they hiding and why did they have no plans that weekend?

Amazing aye! What’s more, the share price was about 300p in October 2021. A drop of 75% from the fizzy heights of 1200p in January 2021 - just 8 months had passed.

Yet in the majority of resolutions, 90 percent of that vast number of PIs voted in favour. Yes, just over 1,500 of the 1,785 investors were happy with the share price during that time.

Now call me a cynic but no matter when those PIs bought, it is likely they lost money during this time. I doubt very much that short term traders would have voted (the small number who probably made money).

So my question is, who were these 1,500 morons that voted yes, and of course well done to Novacyt getting enough votes at the final hour and for resolutions all being passed just in time for the change of guards. That Graham Mullis was a magician, nothing dodgy at all, I’m sure!

So basically Wilson, you have come to the same conclusion as I have, albeit 18 months later…... Better late than never I suppose.

Shame people couldn’t see this at the last AGM/EGM in Oct 2021. Novacyt board could have been shackled earlier rather than allowing the SP to drift down 90 percent (since Feb 2021) to the point that Biosynex are now controlling the share price (IMO through their brokers) within the 1 percent TR1 notification range. They have burnt all their bridges with investors and institutions. No one will be interested in this stock until positive news comes. 100m Jam in 5 years ain’t gonna cut it as a strategy story. We need to see how that strategy is progressing and force the board to communicate this. If we continue to sit on our hands and praise them, where will that get us? Another 12 months of silence is my bet.

We need some decent M&A news to move away from blind hopes of MonkeyPox, B.A 4/5, DHSC & MYGO Tata which will likely lead to very little. Don’t expect anything from the AGM either, the resolutions are literally word for word from last years AGM (although slightly less resolutions this time round).

Do you think the board should be rewarded with another 10 percent salary? If not, vote against, otherwise these shares are worth even less than their current paper value.

If you are not happy with the direction the company is being taken and the disrespect that the board have with your investment, then take a stand. Don’t be silent. Otherwise it’s a LTH and another year of frustration.

BabyHuey…..reference photos. not sure if you understand the roles. Most of those people are non execs and come in once a month and probably sit as board members on a further 5-10 companies. They are busy people. Do you DA should have called in every person for a photo shoot or perhaps keep getting the camera guy back, book the meeting board room and make sure no one uses it. Why don’t you look at Facebook and the other billion pound companies who do the same thing. The rest of your comments make no sense to me, I’ve read them multiple times. The website is a massive improvement…..your not Rainclooud by any chance are you?

Website is good and great improvement so I have no idea what you are going on about. You obviously never visited the original one. Not much different to thermofishers. Perhaps you can suggest a website that is good in your opinion (just to see if you know what you are talking about).

Will wait for the finished article but website looks good and glad to see the back of the orange replace with calm relaxing blues which is a marketing ploy backed by massive company’s. Also worth noting that the white spaces I mentioned below look like they will be filled. If you hover on a particular space in the white space on the homepage you’ll find some links to covid-19 etc….like mini Easter eggs still in building :-)

Looking at it on a PC, quite a lot of the pages have a large empty white space at the top below the header index. Dragging the webpage between laptop and large monitor screen, there are few areas where the font is a little too big such as on the about page and timeline visual.

Otherwise looks good so far.

I didn’t say your reply was fake if that is what you are implying I’m just showing my response and please note this is from last year. However, if you get a letter of confirmation of holdings from HL, you can use this as evidence to cast your vote on the electronic proxy form that Novacyt give us. That’s how I did it last year, unless it has changed but don’t see why it would.

Just ask for the above from HL, don’t leave it to the last two weeks as they are slow responding.

You don’t need to send a screenshot of your HL response, I can see it’s genuine. I’ll ask them again today on how to vote and see if I get the same response for this year.

I’m genuinely helping Valju (despite our clash of views most times) as everyone should have the right to vote (which ever way they choose).

You can also lodge your votes with us.

Furthermore, you're able to find out the dates for an AGM on our website by first selecting the share that you hold on our website. You then just need to click on the 'Company Information' tab and any upcoming AGM should be listed under ‘Important dates’. If there's nothing listed under future events then you can use the previous AGM listed under past events as an indication of when the next AGM will be, as most companies will hold their AGM's at the same time each year.
