On 29th July 2021, GM announced his retirement with Dave Allmond stepping in to the new position on 18th October 2021.
On the 20th August 2021, an RNS announces that the AGM will be held on 29th September 2021.
Surprise, Surprise, on 29th September 2021, an RNS announced the AGM is not quorate and a later RNS on that day announces that the AGM will be held instead on 18th October 2021.
The AGM is held on the 18th October 2021, Incidentally, the very same date that GM retires from his CEO position with new CEO Dave Allmond stepping in.
On the 19th October 2021, an RNS announces that all resolutions have been passed!
Apparently 14,973,566 (1,785 shareholders) voted, miraculously, of the 14,123,154 needed to be quorate (at least 20 percent), luckily with only 850k shares over the amount needed to allow the AGM to happen.
A few days before the AGM, at 17:06 on Thursday 14th October 2021, Novacyt tweeted that 2 percent were still needed for AGM to be quorum.

That’s 282,463 but they also get a further 850,412. (14,123,154/20*2). In 24 hours, they get 1,132,875 votes. Now based on the final count and number of shareholders that participated, each shareholder held on average 8,388 (14,973,566/1,785). So in the space of 24 hours, a further 135 people voted - where were they hiding and why did they have no plans that weekend?
Amazing aye! What’s more, the share price was about 300p in October 2021. A drop of 75% from the fizzy heights of 1200p in January 2021 - just 8 months had passed.
Yet in the majority of resolutions, 90 percent of that vast number of PIs voted in favour. Yes, just over 1,500 of the 1,785 investors were happy with the share price during that time.
Now call me a cynic but no matter when those PIs bought, it is likely they lost money during this time. I doubt very much that short term traders would have voted (the small number who probably made money).
So my question is, who were these 1,500 morons that voted yes, and of course well done to Novacyt getting enough votes at the final hour and for resolutions all being passed just in time for the change of guards. That Graham Mullis was a magician, nothing dodgy at all, I’m sure!
