Hi RTR, From a predator point of view, it only works if you capture the India money before the immediate distribution of £500m IMO DYOR, that 6-8 week period after cash is rec'd and the necessary voting, circluar etc agenda. i.e when CNE have £1bn cash or $1.4bn. Before the divi - CNE NAV would be $800m H1 plus $1.06m= $1.86m or £1.4bn at say 31st Dec £2.80 per share - a low ball bid at £3 = £1.5bn - HBR could issue say 400m shares at £3.60 boosting HBR balance sheet with capital i.e equity share issue and acquire CNE's cash £1bn - a low risk play as CNE shares are unloved and the only defence BOD could issue is the £700m distribution. By 31st Dec HBR would have Tolmount running and purport to have quite a growth story for - Maxing High Nat Gas prices unhedged to woe CNE's IIs. The acquisition reduces their debt by 60% - with all the M&A going on in the North sea - HBR could put the £1bn to work more profitability if it came down to a tussle (this is at the CNE BOD (CNE might announce other acq'n plans before year end) . IMO DYOR, After the distribution, I agree less of a prize for a TO. Bottom line CNE is vulnerable for the period between receipt of cash and the £700m distribution - a 6-8 week window for any predator. Even if you look at Neptune for a reverse takeover with CNE (being private they cannot issue equity), the £1.5bn cash pay-out for CNE- you get back 70% in cash from the acquisition, so its a low risk strategy IMO DYOR - all pre £700m distribution. Hope that makes some sense. GL

Ask any legal professional - 'An Undertaking' is an extremely serious and complicated document - details of which would have had to be agreed with Blackrock etc legal department - on all contingent liabilities - that is a very difficult task, try asking your solicitor for an Undertaking?. They have done well to get that done in the time allowed IMO. Thats the heavy lifting in TIME, that has been played out. Once an Undertaking is agreed - that's the difficult bit - this claim could then be monetised. . Once filed, this will be processed quickly, with Air India & Tata looking on for a Dec 18th deadline. GOI have invested a great deal of time in changing the law and present their country as a suitable investment hub, Air India being the start of more privatisations. Its not in GOI's interest to drag this on, once they have received the Undertaking. . As I said - subtract 6 weeks from end of Jan - mid Feb 22 is when you can expect receipt of funds IMO DYOR. I'll just add on the dips to get 72p Divi. GL

I think your missing using equity to buy CNE's cash. As I said - take HBR 925m shares £3.50 - Buy CNE for £3/ share costs £1.5bn - they could issue 450m shares only a 35% dilution for ££1bn cash - no brainer - with the SP stuck under £1.90 it's a winner, HBR have a free run at leveraging up. IMO DYOR - always said CNE could not defend a bid - hence the pay-out. Such an acquisition would push HBR into FTSE 100 - so on many accounts its a win win and gearing ratio would fall through the floor and have more control over their hedging.. HBR should be bringing Tolmount on line in Dec 21 25kboped GAS - perfect timing, their shares will go thru £4, making the Acquirer more attractive - facilitating a TO IMO DYOR.
