I have no idea how the vote went yesterday. I sure hope the shareholders voted to accept the 250p bid because if they didn’t and Ramsay walk away, there is going to be carnage. I can’t see how the new chairman can stay, or how the Board can explain spending large amounts on advisor fees and distracting senior mgt at this critical time in the pandemic. Also the share register will now be full of arbitrage funds who bought for the price diff between sp and the bid price, can’t see them sticking around. So yes I hope the bid gets voted through even although I still believe the price is too low and the Mediclinic wish to sell should have been handled through a share placing and not a bid.

Agreed they need new management and a new Board that will fulfil the potential of their business not one that cuts and runs at the first opportunity.

Looks like a dead duck deal unless Ramsay increase their bid price above their “final” offer price. Personally I think Ramsay will increase their offer as their options for acquiring hospital chains are very limited and I’m sure the Spire board know that. What surprised me was the negative tone of the 5 July RNS from the Spire Board. Costs increasing, capex required, lack of NHS referrals etc. Aren’t sellers meant to talk up their business prospects? Also giving en EV/ebitda ratio based on 2019 figures is worthless. Surely looking to 2022 and 2023 forecast ebitda is more relevant for shareholder’s decisions?

NHS waiting lists could top 13 million patients within a few months!! Sounds like we are being softened up by our Govt for the massive spending plan to reduce the Covid induced waiting lists!!
A perfect time to buy a private hospital group with thousands of staff, carers, nurses, doctors and surgeons plus state of the art hospitals across the country. The Spire Board turned a much higher offer price down from Netcare when the conditions weren’t anywhere near as good as today. Why?

Extending the court date and asking shareholders if they want to change their votes!! Doesn’t look like this is a “knock out” bid price for the big Institutions.
Such a scarcity of good healthcare investments in the public markets that I’d be surprised if this extra few pence on the bid made any difference to voting intentions. Spire is a unique and high quality asset, why sell so cheaply? Especially now!!

Just read the Sky article. The Board have nothing at all to lose by auctioning the company, nothing at all as the Spire trading outlook is fantastic and they are trading well and PE generally is awash with cash for companies just like Spire. Remember these were originally BUPA hospitals sold to PE for £1.44 billion in 2007. We know asset valuations are much higher today for these assets and with interest rates close to zero and lots of liquidity around this is a strange move for a brand new chairman to take.

Very low offer and way below Netcare’s previous offer of a few years ago. As others have said on here, there are record NHS waiting lists, increasing private pay procedures, massive opportunities for them now with Covid prevalent and yet they choose to sell out now. Puzzling but hard to see who else will pay a material amount more than this price due to their best hospitals being leased and still a load of bank debt etc.

Delivered exactly what she promised in an historically challenging year. Share price will struggle today on a bad day for markets generally. But credit where it’s due to AB.

This WN project needs a flow rate test result and a test of the gas or gas\condensate mix properties. This info is required as a minimum to put some sort of NPV valuation range on this asset. We already know and hope the sidetrack well is drilling in reservoir rock but for the money being spent on the original well & sidetrack to be of value to the owners then either the sidetrack needs to be flow tested or the original well does imo. Onshore commercial reserves can potentially be hugely valuable like Wytch Farm but we are still a long way from that.
All to play for though, just like Brexit.

Agreed. Seven years studying and superbly qualified professionals charging £200 for an initial consultation isn’t anywhere near price “gouging” however our civil servants need to find cash from somewhere.

Another fine for Spire, not as large as previously. This time for allowing eye surgeons to “price fix initial consultations”. Seems a little unfair that the surgeons receive token fines for this and Spire is hit with over £1million in fines. Not sure if this is a case of robbing people blind or robbing blind people!
Seems to me that there is a culture problem in this organisation. Lots of public utterances on improvements and great standards etc but at the cola face many questions still unanswered imo.

Ouch that’s a pity as they were doing well operationally but a Contingent liability as large as the entire company valuation is not good. I wish them well sorting out required funding in this market.

They have had all their bank covenants waived for six months so I’m having a wild guess that their banks won’t allow them to pay a cash dividend during this period :)) I know banks are stupid but they ain’t that stupid.

Burning £9m of cash per month and a public Cv vaccine at least 18 months away? It better have some great innovations to make up for the lack of train and bus travellers going forward. Jeez another great PE IPO in the Saga, AA, Spire tradition :(

Unless the Saudis and Russians cut oil production big time and very soon the Brent price may follow WTI and this won’t make a whole lot of difference.
At sub $20/bbl they are barely making enough to cover opex and transportation costs etc

They are doing everything they can in a difficult macro environment. When they get a credit facility agreed and signed that will make me buy the stock.
Let’s hope and pray Covid doesn’t get in to their field employees.
