Avacta will do a small private placing each month and the shares issued will have a lock-in period so the market won't retrace to the price (if they're issued at a discount and they might be I'm not saying 100% that they won't).

My own view is that the shares will be issued at VWAP or a premium and will come with warranty exercisable at whatever price in the future. Something like 1 warrant for every 10 shares. A nice tidy little offer which is risk free for the buyer and yet if avacta go on to do what we all expect could be extremely lucrative for the purchaser.

I.e. for anyone unsure. Let's say the purchaser ends up with 2m warrants exercisable at £1, they can choose not to exercise them OR if the SP reaches £10 or £20 or whatever, they can then buy them for £1 and make an absolute killing.

Not everything has to be massive discount placings. The market has improved since those days and avacta are so much more advanced and closer to commercialisation.

RH has sights on what avacta have and deals in pipeline. If him and his "mates" want a large position prior then they absolutely will pay a premium.

Not only that but avacta could even offer 1 for 10warrants which are totally risk free for the buyer. Could be exercisable at £1 or any price. There are so many different ways a deal can be made without a massive discount lol

Also, even if there was a massive discount, which their won't be. It makes zero difference as the shares come with a lock in period. They aren't hitting the market. So anyone assuming they will is wrong. You won't be buying them cheap.

Will it be at a discount, a premium, just at VWAP, will there be a lock in period, if so how long will that be. Will warrants be offered etc... there is a lot to iron out but I assure you its being ironed out. If CC didn't want the best for shareholder she could have launched a massive placing at 15p already. Well get a couple.of RNS for coris sale and private placing and then like someone else said there's more left field news will be dropped as and when but will be after cln sorted now so the science rns can have material impact on the SP. What is the maximum value the company call cell for when 2 or more bidders with tens of billions at the disposal decide they want the company?

Is the buyout price determined by the intrinsic value of the IP and TAM or is it determined by some kind of maximum multiple of the current valuation I.e. the max it can cell for is 5x current value I.e. 10m in the scenario above?

If they're gonna be at a discount then what benefit is their? Avacta are seeking a better solution to heights.

I can't say if there will be a discount or no but I can say there will be a lock in period which affectively stops the quarterly dump of shares onto the market.

That's less than 400m market cap with double digit billions in revenue due from ava6000 alone and XXXbn in revenue from 6103. Pharma are paying between 4 and 9 times forecast sales 7 years in the future but were saying avacta will be sold for 0.001x sales or whatever get a grip. You don't know what you own clearly.

If shares have been forward sold and they shouldn't be but when money is involved people are sneaky so if they been forward sold they need to be brought back which might explain chunky buys lately as heights are changing course. Could also be GSA closing out or actually new people with money liking what they see who really knows.

Either way the days of issuing shares each quarter for them to be dumped on the market is over. Avacta will highlight the plan shortly and then what is avacta going to be valued at by the market given no more CLN to worry about and financial runway to at least Q1 26 and with coris to sell plus partner warhead deal imminent. On top of all the data released. You would expect news on cln payment to start a chain reaction of events that leads to a rapid upward rerate.

Avacta have the power to issue more shares.

They will do so but instead of being at a 10% discount to VWAP they will be at whatever value is agreed but certainly higher than they would be if given to heights otherwise what's the point.

Also, they will not be dumped on the open market like heights do every quarter. I'm 99% certain of this from what I am hearing. That's the aim, issue more shares yes but to people who won't dump them and issue them at a higher price than what heights are currently getting.

Doing this also prevents short selling into each quarterly raise coupled with investor sell offs so one would expect the announcement to have a material positive effect on the share price.

Expecially IF when the announcement comes it is clear about multiple CLN payments being covered which is the aim.
