I will be civil to you because you have taken the time to read (re-read) the IPO Document.
Assuming you are a shareholder, then you will have done your due diligence before you bought. You will have known how much our BoD would be paid for their services but now, you are upset.
If you had bought via the Crowdfunding site Seedrs, then you would have been aware of the EIS Tax Relief.
This Tax Relief is worth 30% off your total investment.
Being such a knowledgeable investor that you are, you will have known that you must retain your shares for three years, to benefit from the tax relief.
Now, if you sell your shares within the three years, then the Taxman will be wanting you to reimburse him.
If you bought, after the IPO on AQUIS then you will have a lower entry-price than all the EIS Investors as unfortunately the price that was available since last June was lower due to major platforms not permitting VOY.PL being available for online dealing within a SIPP.

The share price performance since listing says it all. £5.4m market cap down to less than £2m. The market knows this is junk and I can’t wait to see the next accounts to have this proven.
£90k a year for the CEO. I hadn’t bothered to look before posting but I knew it would be relatively excessive for a lifestyle business selling gummies, dog biscuits and cups of tea.
Let’s be realistic here, you need to sell huge amounts of goods to cover the CEO and board costs, not to mention the rent, rates and expenses of a retail estate.
Wait for the inevitable placing to raise funds to spin this out for as long as possible…
Voyaging out of the Pandemic
Nick Tulloch gave a 7-minute interview with Proactive Investors on our new division VoyagerCann.
Voyager are attending two trade fairs in London in March & April 2022.
Our potential orders from this new division are in excess of £50,000 and we only acquired this asset about 6 or 7 weeks ago and for less than a third of what we pay a Non-Executive Director.
Nick said something towards the end of the interview (you will have to watch the interview) but as a teaser, when I was a beekeeper in the 1970’s & 1980’s most beekeepers were small time and there were very few beekeepers who were commercial (we had 97 hives at our peak) and every single beekeeper that sold their honey, sold it in 1lb jars (456g) and all the jars were the same (like they still are for all white label honey and the major honey supplier) the only difference is the label.
I went to our wholesaler in Glasgow and said I wanted 10 gross of jars (1,440 jars) and was given a price which included a good discount on the normal box priced at 72 jars (half a gross) I then said that I really did not want the standard honey jar and asked to see all the glass jars that they had.
There was a beauty product jar that only held 12oz (340g) but it cost more because it was a lot heavier and it was not as tall. Our labels still fitted on the jar, and I sold our 12oz jar of honey to our retail customers for more than what I used to sell our 1lb jars and our profits went up by over 25% after accounting for the increased cost. Our customers preferred our product because it was unique.
So, there is a point to why Nick & our staff emphasize the importance of attending trade fairs and interacting with our potential customers.

Launch of VoyagerCann
Voyager, the health and wellness company supplying high-quality Cannabidiol (CBD), hemp seed oil and hemp-related products, is pleased to announce the launch of voyagerCann, its new bespoke skincare product creation and development division.
On 20 December 2021, Voyager announced the acquisition of Cannafull's brands and assets including its associated brand Ascend Skincare following the liquidation of Cannafull's parent company. Since then, Voyager has worked to re-establish trading in the business and is in the process of contacting Cannafull's customers and other potential customers offering a full turn-key service for the development and launch of new CBD skincare products. As part of this integration, and in recognition that the relaunched operations will offer a far wider range of services and products than before, the Company has re-branded the division voyagerCann.
Initial responses have been positive and voyagerCann is currently in discussions with customers on an order book that, if concluded, would have an aggregate value of over £50,000.
Voyager will be presenting its voyagerCann operations at the White Label Expo and the CBD Show, both of which take place in London, in March 2022 and April 2022 respectively.

Proactive Interview
Nick Tulloch CEO of Voyager Life Plc expands of the acquisition of the assets of Cannafull Ltd. We now have some manufacturing assets, some office furniture and some inventory (which we sell in our own three shops)
We have also acquired attendance at two Trade Fairs in 2022 which are fully paid for. We probably would have attended these Trade Fairs anyway but now they are not costing us a penny.
Nick acquired all the assets (including the websites & social media platforms) for £9,000.

Assets Acquired
Voyager Life has acquired the assets of Cannafull & Ascend Skincare.
Today our Directors announced the acquisition from the liquidator of the assets of Cannafull, a company which manufactured an extensive range of CBD skincare products. The price paid was only £9,000.
Cannafull was based in Perth (in the same Business Park as Voyager Life) and over the past two years they (Cannafull) manufactured an extensive range of CBD skincare products for 17 customers, several of whom are high profile and well-regarded participants in the CBD industry.
When building a business from scratch, you can grow organically, and you can also grow by acquisition. Often Companies decided they want to be bigger and go down a particular path of acquiring similar businesses to gain market share and in the process, they also acquire debt. We have no debt and the assets that we have acquired today were from our own cash resources.
We will not know (for commercial reasons) how much stock we have acquired but what we do know is that for our £9,000 we have “the brands, their websites and social media platforms, all fixtures and fittings and remaining inventory. Voyager is not acquiring the parent company or taking on any liabilities as part of the acquisition. The operations of Cannafull and Ascend Skincare will be moved to Voyager’s existing premises and management are therefore not expecting any increase in overheads at this time.”
I have often said that Companies House is an excellent research tool to assist you in your investment decisions and from the last available accounts of Cannafull Ltd their Current Assets were £44,257 and Net Current Assets were £30,562. Obviously, the assets will have changed over the past year, but we have acquired two websites and all their fixtures & fittings and some actual stock, so in my opinion we have had an early Christmas present.

Great to see so much info in our midterm report from Nick and Eric plus RKB adding his views too.
I personally feel this newly formed well run company is now showing what we shareholders wish /want to see and that is open and transparent in all their dealings and keeping a strong hold on its cash deposits .
One can see they’ve hit the ground running and are quickly establishing a strong foothold in such a short time which is so encouraging.
May the newly formed team keep this pace up which I’m sure our Nick will as he’s got the drive and will to fulfil his dream of making Voyager very successful and making it into a household name which the public will trust.

Our Business Plan is to have several revenue streams: Retail, Online & Third Party and this has been achieved and will continue to grow.
Extensive Product Range: We have an extensive product range with many of our products developed in-house and we have a pet range which is a market leader.
Repeat Orders from Customers: All new businesses require repeat business from their existing customers, and this hopefully will be evidenced at the full year results next year.
Brand Recognition: Any new business requires to build their brand and I believe we have an excellent team in place to ensure this happens. First we have our staff in our three shops, who have been trained and are knowledgeable and as evidenced when talking to customers face-to-face they close the sales. Then we have both Nick & Eric who had the vision to build a CBD company in the UK after their experience in an American Company that was pivoting from Oil & Gas to CBD. Finally, we have two great ambassadors with Nikki Cooper a supplements brand creator (see our website) and Jill Overland who has extensive corporate experience and excellent connections to further our Brand.
Low-Cost Business Model: You only have to read our Interim Results to see how Nick & Eric ensure our costs are contained.
Shareholder Liquidity: I know that our BoD are aware that our shares are not as liquid as they would like. We listed on Aquis to retain our tax advantages of EIS and there have been conversations with a major online platform to trade our shares and hopefully we will receive an update on any progress achieved.

What does CBD do?
CBD binds with our bodies’ endocannabinoid receptors.
This is turn signals our endocannabinoid system (ECS) to take action.

Interim Results
Our Interim Results to 30th September 2021 have been released this morning.
What I always like to see is a timely release of Results and Nick & Eric only took seven weeks to produce our Interims, which must be commendable.
Some highlights:

“Since incorporation, the breakdown of our revenue across our three business lines has been well balanced with online sales accounting for 21%, our own stores (and sales at trade fairs) 37% and trade customers, as we would expect at this stage, leading with 42%. However, noting that our St Andrews store opened only two months before the end of the period and no significant sales were made to trade customers before June 2021, we expect the proportion of sales made through stores to perform more strongly going forward.”
“We focus on the higher margin part of the industry, being formulations and branding, with all of our cultivation, extraction and manufacturing outsourced to others. The majority of our products are supplied by four manufacturers all of whom have proved to be reliable on quality and availability. We periodically explore alternative sources of supply but, at present, we do not expect to make any changes. It is particularly significant that, through the strength of our relationships with our suppliers, we have been able to develop new products on low production volumes and so preserving our working capital.”
“More recently our strategy has seen a significant development with confirmation by CLF, one of the leading wholesalers in the UK of health and wellness products, that it will begin stocking Voyager products from January 2022. This distribution success has recently been developed further with The Range, one of the UK’s leading retailers, now stocking Voyager products on its online marketplace. They will shortly be followed by Thompson and Morgan who have also agreed to stock Voyager’s pet products on its online marketplace. This may be a particularly interesting opportunity as the company has indicated to Voyager that its website receives around 30 million visits per annum and there are currently no other suppliers of pet products on its site.”

Positive Trading Update
Today we had a positive trading update from Nick.
Cash in hand £1.8 million.
Stock in-hand £80K (at cost)
Monthly running costs are about 50K.
St Andrews Shop trading well.
Edinburgh Shop opening later this month.
Dundee Shop opening late November.
Voyager has attended various Trade Fairs in England & Scotland.
Next Trade Fair is at the Excel Centre in London this Sunday & Monday.
From January 2022, our products are going to be on one of the largest online platforms, CLF.
CLF stock over 11,000 products like, Sports Nutrition, Vitamins Minerals & Supplements, Health Food & Drinks & Personal Care.
I have no doubt that our New Director, Nikki Cooper, appointed in June was instrumental securing the CLF account.
Our interim results for the period ended 30 September 2021 are expected during the second half of November 2021. This is something that is welcomed by me.
Often with small market companies (we will not always be in that category) their Interim Results take substantially longer to be published, but with Voyager Life they are aiming to provide their shareholders (and The Market) with information in a timely manner.
Hopefully, HL and other Brokers will improve their online dealing platforms to enable potential investors to access the growing CBD business that Voyager CBD are in.

Pressure Required
Hello InvestingGenius, you are correct with our Market Capt. of about £2.5 million as we have 9,252,920 shares in issue.
The question is, how can we achieve “some volume”?
I have spoken to Nick & Eric about the lack of liquidity on the Aquis Exchange.
My Broker is Hargreaves Lansdown and I have corresponded with them several times this month and have also tweeted whenever I can about the poor service Hargreaves Lansdown offer.
I am not able to purchase VOY.PL within my SIPP. I could buy within an ISA but not online only telephone dealing.
Normally if I am buying a VCT type of share in my SIPP it is often (maybe always) executed via a telephone call, and I tend to pay the £50 maximum price but if it were to be a small amount of shares it could be £20 for the telephone deal.
Hargreaves Lansdown, say they will consider moving VOY.PL onto their platform if they receive more requests.
If anyone perusing our B.B. are with Hargreaves Lansdown, then you may want to request them to include VOY.PL on their online platform.

Re-Branding
It looks like our re-branding is underway.
I was checking the website for new products. I can see the label has been improved with a subtle change to the CBD leaf.
On page 1 they have re-branded The Gummies, The Body Scrub, The Cooling Cream & Mints.
On page 2 they have re-branded The Soft Gels & The Pet Shampoo.
On page 3 they have re-branded The Pet Odour Neutralising Spritz & The Rosemary & Mint CBD Muscle Salve.
There are about another 20+ products that are currently being re-branded and I am reliably informed that the pet products are market leaders.
