I'm not bothered about dilution it will probably go nuts on relisting anyway. Look at Hex and Msmn spiking to the moon atm
Is it actually a real transaction? Or is this [yet] another example of the [unconscionable] double-speak of pumping promoters?? Any serious raise for a transaction that is in connection with a merger involving a public company, will definitely include the price points/share values/other basic realities– always elusive, that.
We have likely been diluted to oblivion seeing as there is no mention of the conditions or price per share of the raise. At least we get to vote on it at some point.
Did they raise £5 mil at 1p 5p 50p ????

I notice that Georgina only filed their accounts for their year ended 30 April 2023 a couple of days ago, and wonder if this might have been a requirement holding up FCA approval? If so, then clearly that requirement has now been met.

COMMENT:
Both EP 155 & EP 145 farmed out to Greenvale Energy of ASX & Georgian [EP 155] are in the AMADEUS BASIN, Australia.
Both are NEAR and "ON TREND" TO THE THE MEERENIE OIL AND GAS FIELD of which the CEO of Mosman mentioned today in his presentation of 24.1.24 in that the Meerenie Oil & Gas Field is undertaking potential HELIUM production etc [please check the vid].
EP 155 is MUCH LARGER a potential at 75 Bcfg vs EP 145 at 26.4 Bcfg.

At the 8:25 mark, EP 145 & EP 155, Amadeus Basin, Australia. The MAP shows the Magee 1 and Mt Kitty with 6 & 9% HELIUM. Outside this field , HELIUM is at 0.22% & 0.15% [all in yellow flag].
CEO, MSMN "believes they are in the right place. Two permits [MSMN -CEO means EP 145 & 155 - well TESTED WITH HYDROCARBONS, infrastructure - DARWIN helium, exported. Hope SANTOS will drill but delayed - drill deep wells in 2024. CEO talks of Greenvale Farmin 75% & MSMN 25% [£7.5m to be spent]. CEO also talks of Georgina farmin EP 155 with MSMN.
"Main focus, Australia. Q & A: From my recall , CEO MSMN said that the MEERENI OIL AND GAS FIELD HAS BEEN PRODUCING FOR 20 YEARS & THEY ARE LOOKING TO EXTRACT H E L I U M from Meereni [Central Petroleum ,ASX had issued a RNS in Aug 2023 on this and I have read it]. It is all over the news, that shortly there will be NO MORE HELIUM PRODUCTION IN AUSTRALIA [Amadeus Basin]. So, demand for helium locally is needed. Globally, helium is not easy to find and supply is needed.

Greenvale Energy issued a RNS similar to MSMN yesterday but the difference is the wording which Greenvale used vs MSMN ie last sentence as to when the NT govt will approve the farmin etc. The Greenvale RNS of last night is on HC to read and check.

£5m funds to be raised for work programme @ say £1 per share, adding 5m shares to current share issue & warrants gives 54,216,666 shares after raise. If brokers note is a guide, then base £127m market cap, gives £2.34 per share? Not sure its correct, but someone else can have a stab at it.
What share price are people expecting when this RTOs?

The FCA will also need to receive an application for the admission of the securities to be included on the Official List, the final FCA-approved registration document and/or prospectus, and written confirmation of the number of shares to be allotted. The LSE will need to receive, among other things, an application for admission to trading, an electronic copy of the FCA-approved prospectus and written confirmation of the number of shares to be allotted.
The FCA must approve the registration document and/or the prospectus. The advisers will submit a draft document to the FCA, who will then comment on it. The advisers and the applicant company address these comments and submit subsequent drafts until all of the FCA's comments have been addressed, at which point the FCA will informally agree to approve the registration document or the prospectus. The advisers will then arrange for the finalization of the registration document or prospectus for the FCA's formal approval. Where the applicant company prepares a registration document and a subsequent prospectus, the FCA will need to approve both documents. The FCA approval process generally takes approximately two to four months. Following FCA approval, the registration document or prospectus may be published.
How does it take for FCA approval ?
A recent Mosman Oil and Gas presentation (note the link below) provides more detail regarding the EP 145 (West Walker) JV deal with Greenvale.It starts with page 10. Interestingly, Mosman made another deal with a private company for EP 155 which appears to hold potentially 4X more hydrogen and helium than EP 145.

Helium supply shortages should be addressed by 2027.Global helium long term production prospects this month significantly improved after the announcements made at the Helium Super Summit in Houston. Qatar Energy confirmed its LNG Helium plant #4 should be online by 2027 and its Helium 5 plant to begin afterwards. Both plants are copies of the successful Helium 2 plant. This project should add significant capacity to global helium production at six-nines purity (99.9999%).It will be capable of producing 1.5bcf annually equal to nearly 10% of global helium current production. More specifically,Helium 4 will boost Qatar Energy LNG’s helium production capacity to 4.1bcf annually from 2.6bcf while Helium 5will further boost capacity to 5.6bcf once it comes on line. Additional helium production could come from Russia's Gazprom’s Amur Gas Processing Plant once management resolves the multitude of commissioning problems faced to date.

Is there a telegram group for MMM, hopefully to be Georgina? Thanks for posting. A raise of £3m will create some dilution, but hopefully not much. There's a relatively small number of shares in issue and a relatively small free float too. Hopefully the RTO will progress smoothly and given the IPO target of around £58m, then the market should provide a swift rerate initially and the potential resource estimates looks huge!

They are looking at a number of potential projects in southern africa. Their problem is they cannot find one which is relatively close (ie within a couple of years) to achieving a major liquidity event justifying management time, effort and shareholders cash. But since FCA is not kicking them off AIM, i suspect they will eventually find one that ticks the boxes for a reverse takeover deal.
Just standard practice. Similar date to previous years :-(

Now eleven months since suspension and in that announcement stated that they would keep shareholders updated but absolutely nothing

We have AGM Wednesday 6 July so hopefully some news on relisting
“ I am pleased to report that due diligence is progressing, and we are aiming to complete the Proposed Transaction and re-list in Q2 2022. I look forward to reporting our progress to you in this regard over the coming months.”
So thinking further with year end January Q2 would be April to July so hopefully max two months until relist
So as year end is 31 January that will be after 31 July so could be months and months away
A very basic error in the report to get that wrong
