RULE 2.9 ANNOUNCEMENT

ZPG Plc announces for the purposes of Rule 2.9 of the City Code on Takeovers and Mergers that following the issue of certain shares on 10 July 2018 it currently has in issue 451,213,146 ordinary shares of 0.1 pence each (excluding ordinary shares held in treasury). The ISIN code for the shares is GB00BMHTHT14.

The increase in the number of ordinary shares that are not held in treasury results from the issue of 12,661,477 shares to the ZPG Employee Benefit Trust on 10 July 2018 in order to satisfy share awards pursuant to employee share schemes.
