Wynnstay Group PLC01 May 2007 Wynnstay Group plc (the "Company") Scrip dividend results & Director shareholdings The Company announces the following information in relation to the ordinaryshare capital of the Company: Elections to accept the scrip dividend alternative were received from theholders of 4,395,647 ordinary shares of 25p each ("Ordinary Shares"), inaggregate, representing 42.5% of the existing issued Ordinary Share capital ofthe Company. Accordingly, 64,517 new Ordinary Shares were issued in satisfactionof such elections, increasing the enlarged issued Ordinary Share capital of theCompany to 11,731,257.
