Warner Estate Holdings PLC31 October 2007 Warner Estate Holdings PLC ("Warner Estate") TOTAL VOTING RIGHTS AND SHARE CAPITAL In conformity with the Transparency Directive's transitional provision 6, WarnerEstate would like to notify the market of the following: Further to the issue of 40,000 ordinary shares of 5p each on 19 October 2007 inconnection with the exercise of share options, Warner Estate's issued sharecapital, including treasury shares, is comprised of 56,170,865 ordinary sharesof 5p each at the date of this notice. Of these, 250,000 ordinary shares areheld in treasury. Therefore, the total number of voting rights in Warner Estate is 55,920,865.
