Warner Estate Holdings PLC01 May 2007 Warner Estate Holdings PLC ("the Company") Shareholdings of Directors and PDMRs Messrs. P C T Warner and P W Collins, Directors of the Company, each purchased34 Ordinary shares, and Mr M J Stevens, a Director of the Company, purchased 32Ordinary shares in the Company on 30 April 2007 at 771p each under the Company'sAll Employee Share Ownership Plan ("the AESOP"). Messrs. P C T Warner and P WCollins purchased 17 of their shares as Partnership Shares and 17 shares eachwere purchased by the Company as Matching shares under the rules of the AESOP.Mr M J Stevens purchased 16 of his shares as Partnership Shares and 16 shareswere purchased as Matching Shares under the rules of the AESOP. All shares werepurchased on their behalf by Capita IRG Trustees Limited, the Trustee of theAESOP. The Trustee will hold the Shares in Trust for a minimum period of fiveyears following the date of the purchase. The shares purchased represent lessthan 0.001 per cent. of the Company's issued ordinary share capital. D J Lanchester and V B Vaghela purchased 17 of their shares asPartnership Shares and 17 shares each were purchased by the Company as Matchingshares under the rules of the AESOP. Ms S Harries, Mr M D Ovens and Mr J Peacockpurchased 16 of their shares as Partnership Shares and 16 shares were purchasedas Matching Shares under the rules of the AESOP.
