Warner Estate Holdings PLC01 March 2007 Warner Estate Holdings PLC Publication of REIT Circular to Shareholders 1 March 2007 As announced in the Interim Results for the six months to 30 September 2006, andconfirmed in the offer document and related party transaction circular issued on20 February 2007 in respect of the cash offer for JS Real Estate Plc, WarnerEstate Holdings PLC (the "Company") intends to convert to a UK Real EstateInvestment Trust ("REIT") on or after 1 April 2007. The exact timing of suchconversion is uncertain as it will depend, amongst other things, on publicationof guidance notes by the HM Revenue and Customs on joint venture groups andtheir impact, if any, on the Company's joint ventures. In order to try and avoid certain tax charges that can arise as a REIT,amendments are required to the Company's Articles of Association. Accordingly,the Company announces that it posted yesterday, a circular to shareholders("Circular") explaining the proposed conversion to a REIT. The circular containsa notice convening an Extraordinary General Meeting ("EGM") to be held atNations House, 103 Wigmore Street, London W1U 1AE on 23 March 2007 at 10.30a.m., at which a Special Resolution will be proposed to approve the requiredamendments to the Company's Articles of Association. Two copies of the Circular have been lodged with the UK Listing Authority forpublic inspection at the Document Viewing Facility of the UK Listing Authorityat 25 The North Colonnade, Canary Wharf, London E14 5HS.
