Board Appointments, Update on EGM/ Shareholder update and AGM

Valereum Plc, the Gibraltar technology group is pleased to announce that the EGM to ratify approval of the acquisition of GSX Group will take place on Tuesday 30th January 2024. 

Valereum Plc would also like to inform all shareholders that the AGM will be deferred until a full audit is concluded, but is pleased to announce a shareholder meeting will take place on Wednesday 31st January 2024 to update investors as follows:

1. Meet the new board 

2. A brief financial update (full financials to be shared at the AGM later in the year)

3. Share the opportunity and business plan: presentation of the board's medium term plan (1-3 year cycle) which will detail the updated strategy and vision for the group, including:

a. The VLRM Markets roadmap;

b. The VLRM Technology roadmap including the launch of the "Bridge"

c. Other milestones

d. Governance and compliance

e. Marketing and branding (The Great Reset)

f. ESOP 

4. Outline Capital raising plans

5. AOB

6. Q&A

Valereum is also pleased to announce the following board appointments.

Nick Cowan has officially joined the Board as Chief Executive Officer. Formerly serving as GSX Group CEO and founder of the Gibraltar Stock Exchange and GSX Group. With 35+ years' experience Nick was the former global head of equities and global head of equity trading at ING Barings.

Simon Brickles has officially joined as a Non-Executive Director to the company. Simon, the current group Chairman of the GSX Group, brings over 30+ years' experience in capital markets. Simon served as the former head of AIM/London Stock Exchange and other markets.

Gary Cottle has officially joined the board as a Non-Executive Director. Gary has had a 30 year career in the financial services industry, most recently as Senior Managing Director and Head of Global Markets EMEA and has managed a number of exchange and platform investments.

Nicholas Cowan

Nicholas was a director of Cowan and Cowan Limited, a property development business which was subject to a Creditors Voluntary Liquidation ("CVL") in February 2011. Following the completion of the CVL, the company was dissolved in April 2012, and all creditors received their payments in full.

Simon Brickles 

Simon was a non-executive director of Bellzone Mining PLC, an AIM listed mining company which went into administration in December 2018 as the company was not able to raise sufficient capital to continue operations.

Gary Cottle

There is no further information to be disclosed pursuant to Rule 4.9 of the AQSE Growth Market Access Rulebook.£
