CHANGES TO BOARD AND COMMITTEE COMPOSITION

Tesco PLC is pleased to announce that Dame Carolyn Fairbairn will be joining the Board as a Non-executive Director with effect from 1 September 2023. Dame Carolyn will also be appointed as a member of the Remuneration Committee and Corporate Responsibility Committee.

The Company further announces that Lindsey Pownall does not intend to seek re-election to the Board at the Company's 2023 Annual General Meeting and will formally retire from the Board at the conclusion of the AGM.

Lindsey's retirement from the Board will mean that she also steps down from her role as Chair of the Corporate Responsibility Committee and will be succeeded by Stewart Gilliland.

There are no additional matters that would require disclosure under LR 9.6.13 R (1) to (6) in respect of Dame Carolyn Fairbairn.

Notes:

Dame Carolyn is currently a non-executive director of HSBC Holdings plc, Chair of the Board of Trustees of Royal Mencap Society and an honorary fellow of Gonville and Caius College, Cambridge, and of Nuffield College, Oxford.

Dame Carolyn served as the Director-General of the Confederation of British Industry from 2015 to 2020. She has been a Non-executive Director of Lloyds Banking Group plc, The Vitec Group plc, Capita plc and BAE Systems plc. . She has also served as a Non-executive Director of the UK Competition and Markets Authority and the Financial Services Authority and a Trustee of Marie Curie. Dame Carolyn held senior executive positions at the BBC and ITV, was a partner at McKinsey & Co specialising in digital and media and was a member of Prime Minister John Major's Number 10 Policy Unit.
