Issue of Equity
Further to the announcement made on 25 September 2015, the Board of Totally (AIM: TLY), the provider of a range of services to the healthcare sector, announces that the Company has issued 3,787 new ordinary shares of 10 pence each ("Ordinary Shares") to Jack Clipsham in satisfaction of part of the fees payable to Mr Clipsham (a former non-executive director of the Company) in respect of his contractual notice period. These new Ordinary Shares were issued at a price of 33 pence per share, being the average mid-market closing price of the Company's Ordinary Shares on AIM for the five trading days after the announcement of Mr Clipsham's resignation on 25 September 2015.
The 3,787 new Ordinary Shares rank pari passu in all respects with the Company's existing Ordinary Shares. Application will be made to the London Stock Exchange for the 3,787 new Ordinary Shares to be admitted to trading on AIM ("Admission"). It is expected that Admission will become effective on or around 16 October 2015.
Total Voting Rights
Following the issue of the 3,787 new Ordinary Shares, the Company's issued ordinary share capital consists of 9,994,953 Ordinary Shares, with one voting right each. The Company does not hold any Ordinary Shares in treasury. Therefore the total number of Ordinary Shares and voting rights in the Company is 9,994,953.
The above figure may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company under the FCA's Disclosure and Transparency Rules.
