St. James’s Place plc (“SJP”)
SJP was notified on 25 October 2013 of the following changes in SJP shares held by the Person Discharging Managerial Responsibility (“PDMR”) named below.
Exercise of share options held under the SJP Executive Share Option Scheme 2000 (“ESOS”)
SJP announces that on 25 October 2013, PDMR Bill Tonks exercised an option under the ESOS with an exercise price of 246.000 pence per share and as a result acquired 42,839 SJP shares on exercise. Mr Tonks subsequently sold 40,322 SJP shares on 25 October 2013 at a price of 666.8567 pence per share and transferred 2,517 ordinary 15p shares in SJP to his wife for nil consideration. His wife sold 2,517 ordinary 15p shares in SJP at a price of 666.8567 pence per share.
Following the above transaction, Bill Tonks holds 166,351 ordinary shares in SJP.
This notification is made in accordance with Disclosure and Transparency Rule 3.1.4R(1)(a).
Notes
(i) The interests of the PDMR include those of his Connected Person(s) as defined in section 96B(2) of the Financial Services and Markets Act.
(ii) The interests of the PDMR set out above include deferred bonus scheme awards held in trust for the PDMR which have not yet vested and are subject to forfeiture.
(iii) The individuals within the organisation considered to be PDMRs under section 96B (1) of FSMA has recently been reviewed and amended.
