St. James's Place plc ("SJP")
SJP was notified on 6 August 2012 of the following changes in SJP shares held by the Persons Discharging Managerial Responsibility ("PDMRs") named below.
Exercise of Awards under the SJP Performance Share Plan 2005 ("PSP")
The PDMRs listed below exercised nil cost options under the PSP on 6 August 2012 and acquired the number of SJP ordinary shares set out in column 1 of the table below. The exercise of the nil cost options follows the satisfaction of prescribed performance targets over a three-year period. Column 2 sets out the number of SJP shares sold on 6 August 2012 at 354.4347 pence per share to meet the cost of income tax and national insurance costs payable on the exercise of the awards. Column 3 sets out the additional number of SJP shares sold at 354.4347 pence per share. Column 4 sets out the number of shares retained by each PDMR as a result of this exercise.

* Mr Dunk subsequently transferred the 22,424 SJP shares to his spouse, a Connected Person, on 6 August 2012.
PDMR - Exercise of share options held under the SJP Executive Share Option Scheme 2000 ("ESOS")
On 6 August 2012, PDMR Peter Edwards notified SJP that on 6 August 2012 he exercised 57,500 options under the ESOS with an exercise price of 242 pence per share and also exercised 7,856 options under the ESOS with an exercise price of 178.5 pence per share and as a result, acquired on exercise 65,356 ordinary SJP shares. Mr Edwards subsequently sold 65,356 SJP shares on 6 August 2012 at a price of 354.4347 pence per ordinary share:

(i) The interests of the Directors and PDMRs include those of their Connected Persons as defined in section 96B(2) of the Financial Services and Markets Act.
(ii) The interests of the Directors and PDMRs set out above include deferred bonus scheme awards held in trust for the Directors and PDMRs which have not yet vested and are subject to forfeiture
With the exception of the changes notified in this announcement, the PDMRs' holdings of SJP shares are unchanged.
This notification is made in accordance with Disclosure and Transparency Rule 3.1.4R(1)(a).
