NOTICE OF ENTRY INTO ARRANGEMENTS WITH SERVICE PROVIDERS TO ENSURE COMPLIANCE WITH THE ALTERNATIVE INVESTMENT FUND MANAGERS DIRECTIVE (2011/61/EU) ("AIFMD")

Schroder Real Estate Investment Trust Limited (the "Company") is pleased to announce that the Company has entered into arrangements necessary to ensure compliance with the Alternative Investment Fund Managers Directive ("AIFMD").

The Board of the Company (the "Board") has approved the appointment of Schroder Property Investment Management Limited (the "Investment Manager") as the Company's Alternative Investment Fund Manager ("AIFM") on the terms of and subject to the conditions of a new alternative investment fund manager agreement between the Company and the Investment Manager (the "AIFM Agreement"). The AIFM Agreement will supersede and replace the Company's existing investment management agreement with the Investment Manager. The arrangements in respect of management fees will remain unchanged.

The Board has also appointed Northern Trust (Guernsey) Limited to act as depositary (the "Depositary") to the Company and certain of its subsidiaries on the terms of and subject to the conditions of depositary agreements entered into between the Depositary, the Investment Manager, the Company and its subsidiaries (the "Depositary Agreements").

The AIFM Agreement and the Depositary Agreements will be effective on the earlier of 22 July 2014 and the date that the Investment Manager's variation of permission application to carry out the regulated activity of "managing an AIF" is approved by the Financial Conduct Authority.

Northern Trust International Fund Administration Services (Guernsey) Limited will continue to act as administrator of the Company.
