LISTING APPLICATION

Spirax-Sarco Engineering PLC (the "Company")

Application has been made for the listing of 40,000 ordinary shares of 2612/13p each fully paid ("shares") to the UK Listing Authority and for trading of the shares with the London Stock Exchange. It is expected that admission will be granted on 11th November 2016, and that dealings will commence on the same day. These shares are issued as a result of a blocklisting for Employee Share Option Schemes (20,000 shares) and the Employee Share Ownership Plan (20,000 shares). When issued, these shares will rank pari passu with the existing ordinary shares.
