Director Shareholding and

Holding in Company

Strategic Minerals Plc (AIM: SML; USOTC: SMCDY), the magnetite iron ore producer and exploration company, announces that Mr George Cardona, a non-executive director of Strategic Minerals, informed the Company on 26 October that on 24 October, 10 million ordinary shares of 0.1p each in the Company were transferred to him from Half Shell Holdings Limited for nil consideration (the "Share Transfer"). The Share Transfer was effected in compensation for advisory services provided by Mr Cardona to Half Shell Holdings Limited and its settlor Mr Walter Doyle.

Mr Cardona is now beneficially interested in 14,084,030 ordinary shares in the Company, representing approximately 3.14 per cent of the issued share capital.

The Company was also informed on 29 October 2012 that as a result of the above, Half Shell Holdings Limited now holds 180,901,250 ordinary shares in the Company, representing approximately 40.37 per cent of the issued share capital. Mr Walter Doyle is a beneficiary of Half Shell Holdings Limited and following the Share Transfer his total beneficial interest is therefore now 180,901,250 ordinary shares in the Company, representing approximately 40.37 per cent of the issued share capital.
