SHAFTESBURY CAPITAL PLC (the "Company")

TOTAL VOTING RIGHTS - DISCLOSURE

In accordance with DTR 5.6.1, Shaftesbury Capital PLC notifies the market of the following:

As at 31 March 2023, the Company's total issued share capital consists of 1,953,170,495 Ordinary Shares of 25 pence each.  The Company holds no shares in treasury, accordingly, the total number of voting rights is 1,953,170,495.

The issued share capital figure above includes 128,350,793 Ordinary Shares held as security by a group entity under the terms of the £275 million exchangeable bond which while held by a group entity will not vote. Excluding such shares, the total number of shares currently in issue is 1,824,819,702.

The total issued share capital figure, being 1,953,170,495 Ordinary Shares, should be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change in their interest in, the Company under the Disclosure and Transparency Rules.
