Director/PDMR Shareholding
On 7 June 2016, following a recommendation made by the Company, the Trustees of the SEGRO plc Employees' Benefit Trust resolved to release the shares under the 2012 LTIP Award (the Award) to the below Directors/PDMRs.

Notes:
1. Vesting of the 2012 LTIP is subject to two equally weighted performance conditions measured over the four-year performance period from 1 January 2012 to 31 December 2015; Total Shareholder Return (TSR) and Total Property Return (TPR).
For the TSR element, the Company's performance against the benchmark resulted in 84.6 per cent vesting. The TPR benchmark was not achieved and therefore no shares vested under this condition. The resultant vesting percentage for the total Award was 42.3 per cent.
2. The participants received their shares net of adjustments for Income Tax and National Insurance Contributions.
