Announcement to the London Stock Exchange

The Company announces that it received notification on 31 March 2010, in accordance with DTR 3.1.2R and paragraph 26 of the Model Code, from Richard Harvey, Non-executive Director of the Company, that he had purchased 4,535 ordinary shares of 1p each in the Company (0.001% of the shares in issue). The shares were purchased at a price of £2.726 per share on 31 March 2010.

Following this dealing, Mr Harvey holds 4,535 shares in the Company (0.001% of the shares in issue).

The Company further announces that on 31 March 2010 160,270 ordinary shares of 1p each in the Company were transferred to Graham Calder by the Paterson Zochonis Employee Trust ('the Trust') in relation to awards made to him under the Company's Deferred Annual Share Bonus Scheme ('the Scheme') in 2007, 2008 and 2009.

The awards were made in the form of deferred shares following the attainment by the Company of performance targets for each of the years ended 31 May 2007, 2008 and 2009 and have been held in the Trust since they were awarded. As previously announced, Mr Calder retired on 31 March and the shares were transferred to him in accordance with the rules of the Scheme.

Following the transfer of the shares to Mr Calder, he sold them back to the Trust on 31 March 2010 for a consideration of £2.72 per share. The Company was informed by Mr Calder of this dealing on 31 March 2010.

The Trust is a discretionary trust under which the class of beneficiaries who may benefit comprises all bona fide employees and former employees of the Company and its subsidiaries including members of such employees' and former employees' immediate families. Accordingly, the Executive Directors and PDMRs of the Company are included in the class of beneficiaries and are deemed to have an interest in all of such shares. Subsequent to the above dealings, the Trust's holding in the ordinary shares of 1p in the Company remains 1,874,245 shares (0.43%).
