Deferred Annual Share Bonus Scheme - release of shares
The Company announces that on 20 August 2010, ordinary shares of 1p each in the Company were transferred at nil cost to the following Executive Directors by the Paterson Zochonis Employee Trust ('the Trust') in relation to deferred awards made under the Company's Deferred Annual Share Bonus Scheme ('DASBS') in 2007. The Executive Directors sold the number of shares listed below for a price of £3.38 per share to discharge their tax obligations arising from the release of the shares.

In addition, Mr C Gendis who has been designated by the Board of the Directors of the Company as a person discharging managerial responsibility was awarded at nil cost 2,520 shares under the DASBS. On the same day Mr Gendis sold the shares for a price of £3.38 per share. After this sale Mr Gendis holds 7,109 ordinary shares in the Company (comprising 0.001% of the total shares in issue).
The shares have been held in trust for three years and have been released in accordance with the rules of the DASBS.
The Trust is a discretionary trust under which the class of beneficiaries who may benefit comprises all bona fide employees and former employees of the Company and its subsidiaries including members of such employees' and former employees' immediate families. Accordingly, the Executive Directors and PDMRs of the Company are included in the class of beneficiaries and are deemed to have an interest in all of such shares. Subsequent to the above dealings, the Trust's
holding in the ordinary shares of 1p in the Company is 1,495,605 shares (0.34%).
