Simplification of capital structure - notice of amendment and redemption of warrants

On 2 September 2009, Phoenix Group Holdings (then known as Pearl Group) (the "Company") issued 5 million warrants (the "warrants") over its shares to certain of its lenders, executing a deed poll setting out the terms of the warrants (the "warrant instrument").
The Company is pleased to announce that, having now amended the warrant instrument to permit the redemption at the relevant price, it will redeem all outstanding warrants on 23 August 2018 at the value of the warrants as shown in the Company's annual report and accounts for the year ended 2017.
