Total Voting Rights and Capital

In accordance with DTR 5.6.1 of the FCA's Disclosure and Transparency Rules, Premier Foods plc (the 'Company') advises that 2,992,680 additional ordinary shares of 10p each with voting rights were issued in February 2022. The shares were allotted to satisfy the exercise of share options under the Company's Sharesave Scheme, following the vesting of the Company's 2018 Sharesave award on 1 February 2022.

As at 28 February 2022, the Company's issued share capital consisted of 862,511,817 ordinary shares of 10p each with voting rights. This figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure and Transparency Rules.
