Resolutions of PJSC NCSP's Board of Directors

Novorossiysk Commercial Sea Port Group (NCSP Group or the Group) (LSE: NCSP, Moscow Exchange: NMTP) hereby reports resolutions approved by PJSC NCSP's Board of Directors subject to mandatory disclosure under Russian law.

Resolutions of the meeting dated 23 March 2016 on approval of related party agreements:

1. Approve property lease agreement between PJSC NCSP as lessor and JSC NGT as lessee.

2. Approve property sale agreement between PJSC NCSP as seller and JSC NGT as buyer.

3. Approve property lease agreement between JSC NGT as lessor and PJSC NCSP as lessee.

4. Approve maintenance agreement between PJSC NCSP as principal and JSC NGT as contractor.

5. Approve agreement for engineering services between JSC NGT as principal and PJSC NCSP as agent.

6. Approve revolving credit line agreement for 1 200 000 000 rubles between PJSC IPP as lender and PJSC NCSP as borrower.

7. Approve oil products transshipment agreement №602-10008G between PJSC IPP as principal and PJSC NCSP as contractor.

8. Approve addendum №1 to oil products transshipment agreement №602-10008G between PJSC IPP as principal and PJSC NCSP as contractor.

9. Approve addendum №1 to oil products transshipment agreement №602-10009G between Novorossiysk Fuel Oil Terminal LLC as principal and PJSC NCSP as contractor.

10. Approve addendum №5 to oil products transshipment agreement №602-10009G between Novorossiysk Fuel Oil Terminal LLC as principal and PJSC NCSP as contractor.

11. Approve oil products transshipment agreement №602-10287G between Novorossiysk Fuel Oil Terminal LLC as principal and PJSC NCSP as contractor.

12. Approve addendum №2 to oil products transshipment agreement №602-10287G between Novorossiysk Fuel Oil Terminal LLC as principal and PJSC NCSP as contractor.

13. Approve addendum №4 on prepayment of loan to loan agreement №1618/09/003/10-T dated 12.01.2010 between PJSC NCSP as lender and Novorossiysk Fuel Oil Terminal LLC as borrower.

14. Approve addendum №4 on prepayment of loan to loan agreement №072/10-T/740/10 dated 23.08.2010 between PJSC NCSP as lender and Novorossiysk Fuel Oil Terminal LLC as borrower.

15. Approve addendum №7 on prepayment of loan to loan agreement №052/11-T dated 24.06.2011 between PJSC NCSP as lender and Novorossiysk Fuel Oil Terminal LLC as borrower.

16. Approve addendum №4 on prepayment of loan to loan agreement №1204/10-100/10-T dated 03.11.2010 between PJSC NCSP and JSC Chernomortransneft as lenders and Novorossiysk Fuel Oil Terminal LLC as borrower.

17. Approve changes to revolving credit line agreement №SFP-ZL-7/1506/13 dated 18.10.2013 between PJSC NCSP as lender and JSC SFP as borrower, and extend the repayment term of the loan in the amount of 276 000 000 rubles until 31.12.2016.

18. Approve addendum №2 to the diesel fuel supply agreement №1885/14 dated 31.12.2014 between JSC Transneft-Terminal and PJSC NCSP and extend the term of the agreement until 31.12.2016.

19. Approve agreement for sale and purchase of 29 tons of crude oil between PJSC NCSP as buyer and JSC Chernomorskie Magistralnye Nefteprovody as seller.

20. Approve agreement for sewage waters disposal between PJSC NCSP as principal and JSC Chernomorskie Magistralnye Nefteprovody as contractor.

21. Approve agreement for diesel fuel transshipment for export between JSC Transneft-Service as principal and PJSC NCSP as contractor.

22. Approve agreement for provision of services to marine vessels between JSC Transneft-Service as agent and PJSC NCSP as contractor.

23. Approve agreement for provision of services to bunkering vessels services between JSC Transneft-Service as agent and PJSC NCSP as contractor.

24. Approve agreement for crude oil transshipment between JSC Transneft-Service as principal and PJSC NCSP as contractor.

25. Approve agreement for diesel fuel transshipment for export and cabotage between JSC Transneft-Service as principal and PJSC NCSP as contractor.

26. Approve agreement for fuel oil transshipment for export and cabotage between JSC Transneft-Service as principal and PJSC NCSP as contractor.

1. Approve agreement for engineering services between JSC NLE as principal and PJSC NCSP as agent.

4. Approve addendum to lease agreement between PJSC NCSP and PJSC Fleet of NCSP as lessee.

12. Approve agreement for harbor patrol and collection of floating debris between PJSC NCSP as principal and PJSC Fleet of NCSP as contractor.

13. Approve agreement for tugboats and passenger boats services between PJSC NCSP as principal and PJSC Fleet of NCSP as contractor.

14. Approve revolving credit line agreement for 3 100 000 000 rubles between PJSC Fleet of NCSP as lender and PJSC NCSP as borrower.

15. Approve agreement for sewage waters disposal between PJSC Fleet of NCSP as principal and PJSC NCSP as contractor.

16. Approve agreement for oil products transshipment to bunkering vessels between PJSC Fleet of NCSP as principal and PJSC NCSP as contractor.

17. Approve agreement for general waste collection and removal, and disinfestation services between PJSC Fleet of NCSP as principal and PJSC NCSP as contractor.

18. Approve agreement for potable water supply services via water outlets between PJSC Fleet of NCSP as consumer and PJSC NCSP as supplier.

19. Approve agreement for heat energy supply between PJSC Fleet of NCSP and PJSC NCSP as supplier.

20. Approve agreement for non-industrial grade sewage waters disposal between PJSC Fleet of NCSP as principal and PJSC NCSP as contractor.

21. Approve agreement for collection and disposal of harbor debris from the debris collection vessels disposal between PJSC Fleet of NCSP as principal and PJSC NCSP as contractor.

22. Approve agreement for general waste collection and removal services between PJSC Fleet of NCSP as principal and PJSC NCSP as contractor.

23. Approve agreement for collection oil contaminated ship's sewage waters between PJSC Fleet of NCSP as principal and PJSC NCSP as contractor.
