Marshalls PLC15 April 2008 NOTIFICATION OF TRANSACTIONS OF DIRECTORS, PERSONS DISCHARGING MANAGERIALRESPONSIBILITY OR CONNECTED PERSONS Acquisition of shares by the Marshalls Employee Benefit Trust On 15 April 2008 Marshalls plc (the "Company") was notified that on that dateMarshalls EBT Limited, the trustee of the Marshalls Employee Benefit Trust,purchased 250,000 ordinary shares of 25 pence each in the Company at a price of240 pence per share on behalf of Directors and senior executives who willparticipate in the Marshalls plc 2005 Long Term Incentive Plan (the LTIP). The Directors of Marshalls EBT Limited are David Graham Holden and Ian DavidBurrell who are Directors of the Company. David Graham Holden, Ian David Burrell and David Neil Sarti as Directors andPeter Hallitt, Chris Harrop, Kevin Hull and Tom Poole as PDMRs are amongst thepotential beneficiaries of the Trust and are regarded for Companies Act purposesas being interested in all the Marshalls plc ordinary shares held by the Trust,although the shares held by the Trust are also held for the benefit of otheremployees of the Company. Despite the technical interest in the shares, theDirectors and PDMRs will only be entitled to receive that number of shares towhich they would be entitled on exercise of an award or option which has beengranted to them.
