Morgan Sindall PLC08 April 2008 Morgan Sindall plc ('the Company') Notification of Transactions by Director and person discharging managerial responsibilities The Company announces that on 7 April 2008, 21,091 ordinary shares of 5p each inthe capital of the Company ("shares") were transferred to Paul Smith pursuant tothe terms of a one-off share award dated 5 April 2006 (the "Award Agreement").These shares comprised 20,000 shares awarded on 5 April 2006 and held in trustand deferred for two years and 1,091 shares representing the dividend equivalentto which he was entitled under the terms of the Award Agreement. The shares were satisfied from market purchased shares held in the MorganSindall Employee Benefit Trust. The middle market price of a share at close of business on 4 April 2008, thelast business day prior to the date of vesting, was £10.26.
