Mears Group PLC ("Mears" or the "Company") 

Application for Block Listing 

7 July 2008 

Application has been made to the UK Listing Authority, the London Stock Exchange and the PLUS-Listed Market for a block listing totalling 1,050,000 ordinary shares of 1p each in the Company. These shares will be allotted and issued in due course upon the exercise of options pursuant to the Company's obligations as follows:

Up to 150,000 ordinary shares of 1p each fully paid in respect of the Mears Enterprise Management Incentives Option Agreements

Up to 150,000 ordinary shares of 1p each fully paid in respect of the Mears Approved Company Share Option Plan

Up to 500,000 ordinary shares of 1p each fully paid in respect of the Mears Unapproved Share Option Plan

Up to 250,000 ordinary shares of 1p each fully paid in respect of the Mears Save As You Earn Scheme

These shares will rank pari passu with the existing issued ordinary shares of the Company. Trading in the ordinary shares under the block listing is expected to commence on 10 July 2008.
