Liberty PLC25 July 2007 Liberty plc Holding in Company Liberty plc (the "Company") announces that it received notification on 24 July2007 from Principle Capital Holdings S.A. ("PCH") and Principle Capital FundManagers Limited in respect of Principle Capital Investment Trust plc ("PCIT")and Principle Capital, L.P. ("PCLP") that PCIT, a company admitted to trading onthe main market of the London Stock Exchange, and PCLP entered into a contracton 25 June 2007 to purchase the entire holding of 1,270,475 ordinary shares inthe Company previously held by PCH. This transaction completed yesterday. Theseshares, representing approximately 5.62 per cent. of the issued share capital ofthe Company, will be held in the following numbers: PCIT 1,116,250 and PCLP154,225 ordinary shares in the Company. Prior to the sale by PCH, PCIT held423,066 ordinary shares in the Company, representing approximately 1.87% of theissued share capital of the Company. Following the purchase of a total of1,270,476 ordinary shares in the Company, PCIT will own 1,593,316 and PCLP154.225 ordinary shares in the Company. The Notification also contained the following statement: "Although the dealing by Principle Capital Holdings SA. ("PCH") does notconstitute a dealing by Brian Myerson, a director of Liberty plc, pursuant tothe AIM Rules, Mr Myerson, in the interests of transparency, wishes to disclosethe fact that he is a director of both PCH and PCIT and that he is a possiblebeneficiary of a discretionary trust which has a beneficial interest in 30.6% ofPCH".
