KELLER GROUP PLC NOTIFICATION OF TRANSACTIONS BY DIRECTORS, PERSONS DISCHARGING MANAGERIAL RESPONSIBILITY OR CONNECTED PERSONS Notification made in accordance with Disclosure Rule 3.1.4R (1) (a) of the Disclosure Rules and Transparency Rules. On 7 March 2014 Keller Group Plc (the "Company") granted share awards(structured as options) totalling 98,662 Ordinary Shares of 10 pence each inthe Company, as awarded by the Remuneration Committee under the terms of theKeller Group Performance Share Plan 2004, in respect of the year ended31 December 2013, to the Directors of the Company as set out below. The Directors informed the Company of their respective interests in theseshares on 10 March 2014. No consideration was paid by any Director for thegrant of an award. The Ordinary Shares will vest on the third anniversary of award subject tocontinued employment and achievement of performance targets and normally beexercisable for a period of six months. The exercise price for the awards is £1.00 in total (payable each time an award is exercised).
