J.P. Morgan Private Equity Limited ("JPEL" or the "Company") is very pleased to announce that the SPL Funds, as sellers, have today announced that their shareholders have voted in favour the proposed acquisition by JPEL of the SPL Funds' limited partnership interests (the "Acquisition") in a portfolio of co-investments ("Co-Investment Portfolio").
The Co-Investment Portfolio is managed by Parallel Private Equity Limited Partnership and consists of a pool of 38 middle-market co-investments with leading fund managers primarily invested in the UK, Germany and France.
JPEL announced the all-share transaction valued at £56.5 million or approximately US$91.9 million on 16 August 2011.
The Acquisition is unconditional in all material respects other than admission of the new US$ Equity Shares (JPEL.LN) and New 2017 ZDP Shares (JPSZ.LN) (to be issued as consideration for the Acquisition) to listing on the UKLA's Official List and to trading on the London Stock Exchange ("Admission").
JPEL can confirm that it has today allotted and issued to the SPL Funds, conditional only upon Admission, 44,727,053 new US$ Equity Shares and 30,410,753 New 2017 ZDP Shares. It is expected that the new shares will be admitted to listing and to trading at 8.00 a.m. on 12 September 2011.Unless otherwise defined in this announcement, defined terms contained herein shall have the meaning given to them in the Company's announcement relating to the Acquisition on 16th August 2011.
