Release of 7,348 invested shares held under the IMI plc Share Matching Plan ("SMP") which were originally invested on 4 May 2010 and transfer of such shares back into the 2013 SMP.

Exercise of award in respect of 10,937 shares under the SMP, representing the vested portion of the matching award made in 2010 and dividends paid in shares in respect of the vested portion of the matching award (satisfied with shares held in an employee trust). Transfer of 5,078 of those shares into the 2013 SMP, sale of 5,151 shares to cover the tax and NI liability and dealing charges. Remaining balance of shares retained.

Paul Cleaver will therefore invest a total of 12,426 shares into the 2013 SMP.
