Issue of equity

The Company announces that, further to an exercise of options by an employee (who is not a director or PDMR) over ordinary shares of 1p each in Intercede ("Ordinary Shares"), application has been made for 67,000 Ordinary Shares to be admitted to trading on AIM. Dealings are expected to commence in the new Ordinary Shares on 20 June 2012.

Following the exercise of options, which represents the final exercise of 2002 award options, the Company has 48,735,005 Ordinary Shares in issue. There are 57,975 Ordinary Shares held in Treasury. The total number of voting rights in the Company is therefore 48,677,030. This number may be used by shareholders as the denominator for the calculation by which they may determine if they are required to notify their interest in, or a change in their interest in, the Company under the Disclosure and Transparency Rules.
