ICAP plc (the 'Company')

Persons discharging managerial responsibility shareholding

On 14 May 2013, the executive directors of ICAP plc purchased shares to be held by them as investment shares under the ICAP plc 2013 Bonus Share Matching Plan. Details of these transactions are as follows:

Michael Spencer purchased 229,022 shares of 10p each in the Company. These shares represent 0.035% of the total voting rights of the Company. The shares were purchased at a price of £3.192726 per share. Following this transaction, Michael Spencer has a personal interest of 3,752,641 ordinary shares of 10p each in the Company. Michael Spencer, together with trusts for the benefit of his children of which he is one of joint trustees, own a majority shareholding in IPGL Ltd, of which INCAP Finance BV is a wholly-owned subsidiary. Accordingly, Michael Spencer is deemed to be interested in all the shares in ICAP plc held by INCAP Finance BV and its wholly-owned subsidiary, INCAP Overseas BV, totalling 105,069,560 shares. A trust of which Michael Spencer's children are beneficiaries and he is a joint trustee owns a further 50,000 shares. Michael Spencer has an interest in a further 3,284 share options under the SAYE scheme. Michael Spencer therefore has a total interest in ICAP plc of 108,875,485 shares, 16.85% based on total voting rights of 646,258,891.

Iain Torrens purchased 119,453 ordinary shares of 10p each in the Company. These shares represent 0.018% of the total voting rights of the Company. The shares were purchased at a price of £3.192726 per share. Following these transactions, Iain Torrens has a personal interest of 427,211 shares representing 0.066% of the total voting rights of the Company.

John Nixon purchased 157,135 ordinary shares of 10p each in the Company. These shares represent 0.024% of the total voting rights of the Company. The shares were purchased at a price of £3.192726 per share. Additionally, John Nixon was transferred at nil cost 68,066 ordinary shares of 10p each in the Company, in satisfaction of a promise to receive shares made to him on 27 May 2010. John Nixon sold on the London Stock Exchange on 14 May 2013 a total of 68,066 shares at an average price of £3.10237 per share. Following these transactions, John Nixon has a personal interest of 226,086 shares representing 0.035% of the total voting rights of the Company.
