Purchase of E Deferred Shares and Deferred Shares
Hamilton, Bermuda (2 April 2015) - Further to the announcements on 2 March 2015 and 26 March 2015, Hiscox Ltd ("Hiscox" or the "Company") is pleased to announce that as part of the approval of the Return of Capital by Shareholders at the Extraordinary General Meeting held on 25 March 2015 (the "EGM") and the Share Capital Consolidation which took effect from 8.00 a.m. on 26 March 2015 where Shareholders received 88 New Ordinary Shares and 88 Deferred Shares for every 100 Existing Ordinary Shares that they held at 4.30 pm on 25 March 2015, the Company has today purchased, for an aggregate consideration of one pence, all of the Deferred Shares arising on the Share Capital Consolidation. Those purchased Deferred Shares have been cancelled by the Company.
The Company has today also purchased, for an aggregate consideration of one pence, all of the E Deferred Shares arising on the automatic reclassification of the 243,449,661 E Shares in respect of which the E Share Dividend was paid earlier today. Those purchased E Deferred Shares have been cancelled by the Company.
