Announcement of purchase of D Shares by UBS, 7 April 2014

Purchase of D Shares

Hamilton, Bermuda (7 April 2014) - Further to the approval by Shareholders of the Return of Capital at the Extraordinary General Meeting ("EGM") held on 18 March 2014 and to the Purchase Offer announced earlier today Hiscox Ltd ("Hiscox" or the "Company") announces that all of the issued D Shares were purchased today by UBS Limited acting as principal (and not as agent, nominee or trustee) pursuant to the Purchase Offer in accordance with the Circular and the Purchase Offer Deed for a price of 50 pence per D Share. 

It is expected that Shareholders entitled to receive the proceeds of sale of their D Shares to UBS Limited will be sent cheques, or have their CREST accounts credited by 9 April 2014.

Further details of the Return of Capital are contained in the Circular. Terms used in this announcement have the same meaning as set out in the Circular.
