The Company has been notified that the undernoted directors and connected persons had elected for the scrip dividend alternative to the cash dividend paid on 21 June 2011. The scrip dividend reference price was 381.36 pence per share. The scrip shares acquired by the directors and their connected persons are detailed below:

Shadow Dividends
On 21 June 2011 the undernoted directors received awards pursuant to the Hiscox Ltd Performance Share Plan (the 'Plan'). These awards are in respect of 'shadow dividends' which are payable to participants under the Plan in connection with vested, but unexercised awards, as at the record date for the dividend paid on 21 June 2011. These awards are subject to the same terms as the vested but unexercised awards to which they relate.
